What a Coatings Agreement Is and What It Covers

A Coatings Agreement is a written contract that sets the terms for supplying and applying protective or decorative coatings to materials, structures, or components. It identifies parties, scope of work, specific coating products and technical specifications, surface preparation and testing requirements, application methods, schedule, inspection and acceptance criteria, pricing and payment terms, and warranty obligations. The agreement also allocates responsibility for permits, safety procedures, hazardous waste disposal, and insurance. Clear specifications and measurable acceptance tests reduce disputes and establish the basis for payment and warranty coverage in commercial projects.

Why a Clear Coatings Agreement Matters

A Coatings Agreement reduces ambiguity about materials, methods, schedules, and warranty obligations. Written terms help manage technical risk, set objective acceptance tests, and protect both applicators and owners when workmanship, environmental exposure, or product performance are in dispute.

Why a Clear Coatings Agreement Matters

Who Typically Prepares and Signs Coatings Agreements

Typical users who prepare and sign Coatings Agreements include contractors, coating manufacturers, facility owners, and project managers.

  • Contractors and applicators responsible for surface preparation, application, testing, and meeting specification tolerances.
  • Coating manufacturers supplying product data sheets, technical support, and warranty coverage tied to substrate and application.
  • Owners, facility managers, and general contractors who define acceptance criteria, schedules, and payment terms.

These documents are common across construction, maintenance, manufacturing, and specialty contracting where coatings affect durability, safety, and appearance.

Who Signs and Why Their Role Matters

Owner / Manager

The facility owner or designated manager typically approves scope, accepts completed work, and signs for final payment. Their signature confirms acceptance criteria were met and activates warranty obligations; they should verify project specifications and vendor certifications before signing.

Supplier / Manufacturer

An authorized representative of the coating supplier signs to confirm product specifications, installation guidance, and warranty terms. The signer should be able to bind the company and include printed name, title, and date alongside the signature.

Core Elements to Include in a Professional Coatings Agreement

A professional Coatings Agreement clearly defines scope, technical specifications, responsibilities, schedule, testing, payment, and remedies to reduce disputes and set enforceable performance standards.

Scope of Work

Describe exact locations, surface areas, substrate types, exclusions, and deliverables so both parties agree on what is included and what constitutes extra work.

Technical Specifications

List manufacturer, product names, SSPC/NACE or ASTM standards, batch numbers when available, required dry film thickness, and environmental application limits.

Surface Preparation

Specify blasting, cleaning, repair, and profile requirements, plus methods of measurement and acceptable tolerances prior to coating application.

Testing & Inspection

Define objective tests (e.g., DFT, adhesion, holiday testing), test methods, frequency, and who performs inspections and acceptance testing.

Payment Terms

State unit pricing, milestone payments, retainage, payment schedule, invoicing requirements, and consequences for late payment or nonpayment.

Warranty & Remedies

Specify warranty duration, start date trigger, maintenance obligations to preserve coverage, and remedies or corrective actions for defects.

Step-by-Step: Preparing and Executing a Coatings Agreement

Follow these steps to prepare and execute a Coatings Agreement accurately for construction and maintenance projects.

  • 01

Common Preparation Errors to Avoid

  • Failing to define surface area, substrate types, and exclusions leads to differing expectations and costly change orders during execution.
  • Not attaching product data sheets, SDS, or manufacturer instructions prevents proper verification and may void specified warranties.
  • Using subjective acceptance terms without measurable tests (for example, dry film thickness) causes disputes at handover and delays payment.
  • Omitting required maintenance schedules or environmental exposure limits can result in premature coating failure and denied warranty claims.

Practical Tips to Improve Accuracy and Reduce Disputes

Adopt clear, measurable terms and include technical exhibits to simplify acceptance, reduce change orders, and preserve warranty rights.

Write measurable acceptance tests
Specify numerical targets such as DFT ranges, adhesion values, and acceptable test methods (for example ASTM or SSPC standards) so inspections produce objective pass/fail results.
Attach manufacturer documents and SDS
Include product data sheets, SDS, and manufacturer application instructions as exhibits and reference them in acceptance criteria and warranty conditions.
Specify inspector qualifications and methods
Name qualification standards for inspectors, required instruments, calibration needs, and the format of test reports to ensure consistent evaluation.
Include dispute resolution and remediation steps
Define steps for corrective action, timelines for remedies, and whether mediation or arbitration will be used to resolve disagreements.

Real-World Examples of How Coatings Agreements Are Used

Two short examples illustrate typical outcomes when a complete Coatings Agreement is in place versus when critical details are omitted.

Industrial Coating Project

A plant owner required a detailed DFT and adhesion test protocol before work began.

  • Mobile inspector verified DFT values during cure.
  • Clear acceptance tests and attached SDS allowed quick resolution of a failed patch, obligating the contractor to remediate at no additional cost.

Commercial Façade Restoration

A property manager specified mock-up approval and weather windows before mobilization.

  • Contractor performed a mock-up for owner approval.
  • The explicit schedule, mock-up sign-off, and warranty terms prevented a dispute when finish appearance varied under different light and triggered remediation under the agreement.

Potential Consequences of an Incorrect or Incomplete Agreement

Ambiguous Specifications: Causes disputes and rework
Incorrect Product Data: Can void warranties
Missing Permits: Potential stop-work orders
Improper Waste Disposal: Environmental fines risk
Late Payments: Contractor lien or interest
Lack of Signatory Authority: Agreement may be unenforceable
