The Grantor represents and warrants that, except as disclosed in this Schedule, the Grantor has good and marketable title to the collateral, free and clear of any security interest, lien, encumbrance, or adverse claim other than those expressly identified in the Notes column. The Grantor covenants to maintain the collateral in good working order, to keep any titles and registrations current, and to notify the Secured Party in writing within five (5) business days of any new lien, loss, theft, or change in location of any material collateral.

The Grantor shall procure and maintain insurance with respect to applicable collateral as required under the Security Agreement, name the Secured Party as loss payee or additional insured where applicable, and deliver certificates of insurance and evidence of payment of premiums upon request.

Perfection; Filings; Proceeds

The Grantor authorizes the Secured Party to file financing statements, amendments, continuations, and other documents necessary or desirable to perfect or protect the Secured Party's security interest in the collateral. The Grantor agrees that proceeds, products, accessions, and replacements arising from the collateral are included within the collateral description and subject to the Security Agreement.

Default; Remedies

Upon default as defined in the Security Agreement, the Secured Party shall have all rights and remedies provided under the Security Agreement and applicable law, including without limitation the right to take possession of the collateral, sell or otherwise dispose of the collateral, and apply proceeds to the secured obligations after payment of reasonable expenses. The remedies are cumulative and the exercise of any remedy shall not preclude the exercise of others.
