COLOR SELECTION GUIDE & SERVICE AGREEMENT

This Color Selection Guide & Service Agreement (the Agreement) is made between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client is undertaking a project requiring procurement and application of paint, stain, or other color finishes for defined project elements; and

WHEREAS, Service Provider possesses expertise in color consulting, selection, provision of color samples, and coordination of finish application; and

WHEREAS, the parties desire to document the agreed color selections, responsibilities for verification of samples, and commercial terms governing the provision of services.

PROJECT DETAILS

SCOPE OF WORK

Service Provider shall perform color consulting, prepare this Color Selection Guide listing selected colors for identified project elements, provide physical samples where required, and coordinate with finish applicators as stated in this Agreement. The scope includes verification of on-site conditions and reasonable revisions to selections prior to ordering materials.

COLOR SELECTION SCHEDULE

The following table records the selected color for each project element. Service Provider will provide physical or digital samples as agreed and will note whether samples have been approved by Client.

Additional elements may be added to this guide by written amendment signed by both parties. Client acknowledges that color appearance may vary with substrate, lighting, and application technique; final acceptance requires on-site verification and approval before production orders.

PAYMENT TERMS

Client shall pay Service Provider for services and materials as follows. All amounts are in the currency agreed and are exclusive of applicable taxes unless otherwise stated.

If Client fails to pay any undisputed amount within the agreed period, Service Provider may suspend work or withhold samples until payment is received. Client is responsible for costs of reordering materials due to late approvals or changes requested after ordering.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date or completion of the services, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period. Termination does not relieve Client of payment obligations for services performed and materials ordered prior to termination.

CONFIDENTIALITY

Each party shall keep confidential all proprietary information, color formulas, custom specifications, pricing, and trade secrets disclosed in the course of this Agreement and shall not disclose such information except to employees, subcontractors, or agents reasonably necessary to perform the services and who are bound to equivalent confidentiality obligations. Confidential obligations survive termination for a period of three (3) years.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, Service Provider's total liability under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement. Service Provider is not liable for color variation caused by substrate differences, field lighting, aging, or client-requested changes after approval.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including the attached Color Selection Schedule and any written amendments executed by both parties, constitutes the entire agreement between Client and Service Provider with respect to its subject matter and supersedes all prior discussions, proposals, or agreements. No waiver or modification is effective unless in writing and signed by both parties.

ACKNOWLEDGMENTS

Client acknowledges that final approvals and on-site sample verification are the responsibility of Client and that ordering of materials prior to on-site approval may result in additional costs for color adjustments. Service Provider will make commercially reasonable efforts to match specified color codes and samples, but exact matches are not guaranteed in all application conditions.
