COLOUR VARIATION AGREEMENT

RECITALS

NOW, THEREFORE

In consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Colour Standard" means the approved reference sample, digital specification, and any associated colour data provided by Buyer and identified above. Colour Standard Reference Notes:

1.2 "Delta E" or "ΔE" means the colour difference metric to be used for evaluation, measured according to the Measurement Standard selected in Section 3.

2. SCOPE

2.1 This Agreement governs acceptable colour variation, measurement methods, approval procedures and remedies for all production runs of the Products manufactured by Supplier for Buyer pursuant to purchase orders placed on or after the Effective Date.

3. MEASUREMENT STANDARDS AND TOLERANCES

3.1 Measurement Standard: The parties agree that colour shall be evaluated by the following method (select one or describe custom method).

4. SAMPLING, APPROVAL AND PRODUCTION CONTROL

4.1 Pre-production approval samples (PPS) shall be submitted by Supplier for Buyer approval prior to production. PPS Submission Date: .

4.2 Production shall employ the colour control processes described below. Supplier shall retain calibration records and make them available to Buyer upon written request.

5. NONCONFORMITY, NOTIFICATION AND REMEDIES

5.1 Notification: Buyer shall notify Supplier in writing of any suspected colour nonconformity within Notice Period (days): days of receipt of the affected goods. Notification shall identify the PO/Batch and contain supporting measurement data.

5.2 Remedies: If a sample is found to exceed the agreed ΔE tolerance upon re-measurement by the agreed Measurement Standard, Supplier shall, at Supplier's election and cost, (a) rework the affected goods to conform, (b) replace the goods, or (c) provide a pro rata credit. The chosen remedy shall be completed within Remedy Period (days): days.

6. WARRANTIES AND LIMITATIONS

6.1 Supplier warrants that Products delivered shall conform to the Colour Standard within the agreed tolerances at time of delivery. This warranty does not apply to damage or change caused by Buyer handling, storage, or post-delivery processing.

6.2 EXCEPT AS EXPRESSLY STATED IN THIS SECTION 6, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

7. INDEMNIFICATION

7.1 Supplier shall indemnify, defend and hold Buyer harmless from third-party claims arising directly from Supplier's breach of its colour conformity obligations under this Agreement, subject to Buyer's compliance with notification and mitigation obligations set forth herein.

8. CONFIDENTIALITY

8.1 Each party shall treat the other's technical specifications, colour standards, production data and quality records as Confidential Information and shall not disclose such information except as required to perform this Agreement or as required by law.

9. NOTICES

9.1 Notices under this Agreement shall be in writing and delivered to the addresses provided above or to alternate addresses provided in writing. Notice details for Supplier:

10. AMENDMENTS, WAIVER, ENTIRE AGREEMENT

10.1 No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

10.2 Failure or delay by either party to enforce any provision shall not constitute a waiver of that provision. Any waiver must be in writing and signed by the waiving party.

10.3 This Agreement constitutes the entire agreement between the parties with respect to colour variation matters and supersedes all prior negotiations and agreements.

11. SEVERABILITY; GOVERNING LAW

11.1 If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.2 This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to conflicts of laws principles.

12. COUNTERPARTS
