COMFORT INN LEASE AGREEMENT

This Lease Agreement is made as of the date set forth in the signature block by and between the parties identified below. Landlord and Tenant hereby covenant and agree as follows.

Real Property Taxes: Tenant shall be responsible for all / part of real property taxes as specified in Exhibit A (if any).

Utilities: Tenant shall pay for all utilities serving the Premises, including but not limited to water, gas, electricity, sewer, telecommunications, and refuse, unless otherwise agreed in writing.

Maintenance, Repairs and Alterations

Tenant shall maintain the Premises in good order and repair at Tenant's sole cost and expense, except for structural repairs and the roof, which shall be the responsibility of Landlord unless damage is caused by Tenant's negligence or misuse. Tenant shall not make structural alterations or material improvements without Landlord's prior written consent, which consent shall not be unreasonably withheld.

Insurance and Indemnity

Tenant shall procure and maintain commercial general liability insurance with limits no less than per occurrence and property insurance covering Tenant's personal property and trade fixtures. Tenant shall name Landlord as an additional insured where applicable and provide certificates of insurance upon request.

Indemnity: Tenant shall indemnify, defend, and hold Landlord harmless from and against any and all claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising from Tenant's use or occupancy of the Premises, except to the extent caused by Landlord's gross negligence or willful misconduct.

Use, Compliance and Signage

Permitted Use: The Premises shall be used and occupied only as a hotel and related commercial operations consistent with Comfort Inn standards and applicable law. Tenant shall comply with all laws, ordinances, and regulations, including accessibility requirements.

Environmental; Hazardous Materials

Tenant represents that, to Tenant's knowledge, Tenant will not cause the release or presence of hazardous materials on the Premises in violation of law. Tenant shall not store or use hazardous materials except for normal commercial cleaning and maintenance products in quantities consistent with hotel operations and applicable law. Tenant shall promptly notify Landlord of any release or suspected release.

Default and Remedies

Events of Default: Each of the following shall constitute an event of default by Tenant: (a) failure to pay rent when due and failure to cure within days after written notice; (b) failure to perform any other covenant within days after notice; (c) insolvency or bankruptcy.

Remedies: Upon Tenant's default, Landlord shall have the remedies provided by law and this Lease, including termination, re-entry, recovery of unpaid rent and damages, and recovery of reasonable attorneys' fees and costs incurred in enforcement of Landlord's rights.

Assignment and Subletting

Tenant shall not assign this Lease or sublet the Premises in whole or in part without Landlord's prior written consent, which consent shall not be unreasonably withheld for assignments to an affiliate or a qualified franchisee complying with Comfort Inn brand standards. Any transfer without consent shall be voidable at Landlord's option.

Quiet Enjoyment; Surrender

Landlord covenants that, so long as Tenant is not in default, Tenant shall peaceably and quietly have and enjoy the Premises during the Lease term. Upon expiration or termination, Tenant shall surrender the Premises broom-clean, ordinary wear and tear excepted, and remove Tenant's personal property and trade fixtures.

Governing Law; Entire Agreement

Governing Law: This Lease shall be governed by and construed in accordance with the laws of the State of .

Entire Agreement: This Lease constitutes the entire agreement between the parties with respect to the Premises and supersedes all prior agreements, written or oral. Any amendment must be in writing and signed by both parties.

Notices

Miscellaneous Provisions

Severability: If any provision of this Lease is held invalid, the remaining provisions shall remain in full force and effect. Waiver of any breach shall not constitute a waiver of subsequent breaches.
