4. USE OF PREMISES; COMPLIANCE

Tenant shall comply with all applicable laws, codes, ordinances, environmental regulations, and insurance requirements. Tenant shall not store, use or dispose of Hazardous Materials on or about the Premises except in compliance with applicable law and with Landlord's prior written consent.

5. MAINTENANCE, REPAIRS AND ALTERATIONS

Tenant shall, at Tenant's sole cost and expense, keep the Premises in good order, condition and repair, reasonable wear and tear excepted. Landlord shall be responsible for structural repairs to the roof, foundation and structural walls unless damage is caused by Tenant or Tenant's agents.

Alterations or improvements that materially affect the structure or exterior appearance of the Premises shall not be made by Tenant without Landlord's prior written consent. All permitted alterations shall be performed in a good and workmanlike manner and shall become the property of Landlord upon installation unless otherwise agreed in writing.

6. INSURANCE AND INDEMNITY

Tenant shall, at Tenant's expense, procure and maintain commercial general liability insurance with limits not less than $ per occurrence and property insurance covering Tenant's personal property and trade fixtures. Landlord and Tenant shall be named as additional insureds as their interests may appear, to the extent commercially available.

Tenant shall indemnify, defend and hold harmless Landlord from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from Tenant's use or occupancy of the Premises, except to the extent caused by Landlord's gross negligence or willful misconduct.

7. CASUALTY; CONDEMNATION

If the Premises are damaged or destroyed by fire or other casualty, Landlord shall promptly repair the damage unless Landlord reasonably determines the cost of repair exceeds of the Premises' replacement cost, in which case Landlord may elect to terminate the Lease by written notice. Net proceeds of any insurance shall be applied as reasonably required to restore the Premises.

If the whole or a material part of the Premises is taken under eminent domain, either party may terminate this Lease by written notice. Any award for the taking shall belong to the party entitled under applicable law, provided Tenant may be entitled to compensation for Tenant's fixtures and leasehold improvements.

8. DEFAULT; REMEDIES

Events of Default by Tenant include: nonpayment of rent when due and failure to cure within five (5) days after written notice; abandonment of the Premises; bankruptcy or insolvency of Tenant; and failure to perform any other material covenant where Tenant fails to cure within thirty (30) days after written notice.

Upon Tenant's default, Landlord shall have all rights and remedies available at law and in equity, including the right to terminate the Lease, recover damages, recover unpaid rent, and recover the cost of re-letting. If either party prevails in an action to enforce this Lease, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

9. ASSIGNMENT AND SUBLETTING

Tenant shall not assign this Lease or sublet the Premises, in whole or in part, without Landlord's prior written consent, which consent shall not be unreasonably withheld provided the proposed assignee or subtenant is creditworthy and the use remains permitted. Any assignment or subletting without consent shall be void and constitute a default.

10. ENVIRONMENTAL AND HAZARDOUS MATERIALS

Tenant represents that to Tenant’s knowledge the Premises do not contain Hazardous Materials in violation of law. Tenant shall not cause or permit any Hazardous Materials to be brought upon, kept or used in or about the Premises without Landlord's prior written consent. Tenant shall be responsible for any cleanup, remediation and liability arising from Tenant's breach of this provision.

11. SUBORDINATION; ESTOPPEL

This Lease shall be subject and subordinate to all present and future mortgages and deeds of trust affecting the Premises. Tenant shall execute reasonable attornment and estoppel certificates confirming the status of this Lease upon Landlord's reasonable request.

12. DEFAULTS BY LANDLORD

If Landlord fails to perform any material obligation under this Lease, Tenant shall provide written notice specifying the default and Landlord shall have a reasonable time, not less than thirty (30) days, to cure such default. Tenant's remedies shall be as provided under applicable law and this Lease.

13. NOTICES

All notices and communications required or permitted under this Lease shall be in writing and shall be delivered personally, by certified mail (return receipt requested), or by nationally recognized overnight courier to the addresses set forth below or to such other address as a party may designate in writing.

14. MISCELLANEOUS

Governing Law: This Lease shall be governed by and construed in accordance with the laws of the state in which the Premises are located. Venue for disputes shall lie in the state or federal courts located in the county where the Premises are situated.

Entire Agreement: This Lease, including any exhibits and riders attached hereto, constitutes the entire agreement between the parties with respect to the Premises and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

Severability: If any provision of this Lease is held invalid, the remainder of this Lease shall remain in full force and effect. Waiver of any breach shall not be deemed a waiver of any subsequent breach.

15. REPRESENTATIONS

Landlord represents that Landlord has full authority to enter into this Lease and that, to Landlord's knowledge, there are no violations of law affecting the Premises that would materially impair Tenant's intended use. Tenant represents that Tenant has authority to enter into this Lease and that Tenant's use will comply with all applicable laws.

ACKNOWLEDGEMENTS

The parties acknowledge that this is a cash lease for commercial purposes. Tenant acknowledges receipt of a copy of this Lease and that Tenant has inspected the Premises and accepts them in their current condition, except as otherwise expressly provided in this Lease.
