Maintenance, Repairs and Utilities

Owner Responsibilities: Owner shall maintain the structural integrity of the facility, including roof, foundation, and exterior walls, except for damage caused by Tenant's negligence.

Tenant Responsibilities: Tenant shall maintain all interior improvements, operational systems, and equipment, and shall promptly repair damage caused by Tenant or Tenant's invitees. Tenant shall keep the premises clean and in compliance with applicable codes and permits.

Insurance and Indemnity

Tenant shall maintain commercial general liability insurance with limits not less than $ per occurrence and property insurance covering Tenant's personal property and improvements. Owner and Tenant shall be named as additional insured where applicable.

Tenant shall indemnify, defend and hold Owner harmless from and against any claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Tenant's use, occupancy, or operations, except to the extent caused by Owner's gross negligence or willful misconduct.

Environmental Compliance

Tenant represents that Tenant will not cause or permit the release, storage, disposal or presence of hazardous materials on the facility except in strict compliance with applicable environmental law and with Owner's prior written consent. Tenant shall promptly notify Owner of any release, and shall be responsible for all remediation costs resulting from Tenant's acts or omissions.

Default and Remedies

If Tenant fails to timely pay rent or otherwise breaches this Agreement, Owner shall provide written notice and Tenant shall have days to cure the breach where curable. If Tenant fails to cure, Owner may pursue all remedies available at law or in equity, including termination and recovery of damages and costs.

Owner's acceptance of partial payments shall not waive Owner's rights. Remedies are cumulative and not exclusive.

Assignment and Subletting

Tenant shall not assign this Agreement or sublet the facility without Owner's prior written consent, which shall not be unreasonably withheld for financially qualified transferees. Any assignment without consent shall be void and constitute a default.

Notices

Notices under this Agreement shall be in writing and sent to the addresses set forth above by hand delivery, certified mail, or nationally recognized courier service. Notice is effective upon receipt.

Governing Law; Entire Agreement
