What a Commercial Facility Use Agreement Covers

A Commercial Facility Use Agreement is a legally binding contract that sets terms for temporary occupancy or use of commercial property by an outside party. It defines the parties, the premises, permitted uses, rental or fee structure, duration, insurance and indemnity obligations, access and security protocols, responsible parties for utilities and repairs, and termination conditions. The document helps manage operational risk, clarify financial responsibilities, and create an enforceable record of access and activities on nonresidential property.

Why this agreement matters for facility operators and users

It reduces ambiguity about permitted activities, limits liability through insurance and indemnity clauses, documents financial terms such as deposits and fees, and establishes procedures for safety, access, and compliance with local rules and licensing.

Why this agreement matters for facility operators and users

Who typically prepares or signs this agreement

Typical parties include property owners, facility managers, event organizers, contractors, and tenants who need formal permission for temporary or specific uses.

  • Property owners and managers: Draft, enforce rules, and collect fees for facility use.
  • Event organizers and vendors: Secure defined rights to occupy and use space for scheduled activities.
  • Contractors and service providers: Gain temporary access for repairs, installations, or construction tasks.

Each signer should confirm authority to bind their organization and verify insurance and permit requirements before executing the agreement.

Frequent preparation mistakes to avoid

  • Failing to describe the exact area or limits of access, which creates disputes about where the user may operate or store equipment.

  • Setting insurance minimums that are too low or failing to require naming the owner as additional insured, exposing owners to uncovered claims.
  • Omitting schedules, cleanup responsibilities, or restoration obligations, leaving the parties to negotiate costly post-use remedies.
