Repairs; Alterations; Access

Insurance; Indemnity

Lessee shall maintain commercial general liability insurance with limits not less than per occurrence, naming Lessor as additional insured as required by this Lease. Lessee shall maintain property insurance and any contractors' insurance as appropriate for Lessee's operations.

Lessee shall indemnify, defend and hold Lessor harmless from and against any and all claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from Lessee's use or occupancy of the Premises, except to the extent caused by Lessor's gross negligence or willful misconduct.

Assignment and Subletting

The occurrence of any of the following shall constitute an Event of Default: (a) failure to pay rent when due and failure to cure within days after notice; (b) failure to perform any other material obligation and failure to cure within days after written notice. Upon default, Lessor may pursue any remedy at law or in equity, including termination, possession and recovery of unpaid rent, damages and costs of collection.

Subordination; Attornment; Estoppel

This Lease shall be subject and subordinate to any ground lease, mortgage or deed of trust affecting the Premises. Lessee agrees to attorn to any purchaser or lender who takes possession of the Premises in accordance with applicable law. Lessee shall execute estoppel certificates upon reasonable request.

All notices required or permitted under this Lease shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested) or sent by nationally recognized overnight courier to the addresses set forth above or such other addresses as the parties may designate in writing.
