COMMERCIAL LEASE ADDENDUM

This Commercial Lease Addendum (the Addendum) is made effective as of by and between Landlord Name: ("Landlord") and Tenant Name: ("Tenant"). This Addendum modifies the Commercial Lease dated (the Lease) for the premises located at (the Premises).

RECITALS

WHEREAS, Landlord and Tenant entered into the Lease referenced above on for the Premises; and

WHEREAS, the parties desire to amend certain terms of the Lease to reflect changes in the term, rent, and Tenant improvements as set forth below; and

WHEREAS, capitalized terms used in this Addendum that are defined in the Lease shall have the same meanings herein unless otherwise defined in this Addendum.

NOW, THEREFORE, in consideration of the mutual covenants contained in the Lease and this Addendum, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. AMENDMENT TO TERM

The Term of the Lease is hereby amended. The Term shall now commence on and expire on unless earlier terminated in accordance with the Lease. All references to the Term in the Lease shall be deemed revised accordingly.

2. RENT ADJUSTMENT

Effective as of Tenant shall pay Base Rent in the amount of per month, payable in accordance with the Lease. All other monetary obligations, including Additional Rent, shall remain due as provided in the Lease except as explicitly modified by this Addendum.

3. SECURITY DEPOSIT

The Security Deposit required under the Lease is hereby amended to be . Tenant shall deliver any additional deposit required by this Addendum within days of the effective date of this Addendum. Landlord's rights with respect to the Security Deposit remain as set forth in the Lease.

4. TENANT IMPROVEMENTS; ALTERATIONS

Tenant shall be permitted to undertake the following improvements to the Premises subject to Landlord's prior written approval of plans and specifications and compliance with all applicable laws: Tenant improvements as described in the Tenant improvement allowance and scope below.

Tenant shall obtain all required permits and provide evidence of payment to contractors. Tenant shall indemnify and hold Landlord harmless from any mechanic's or materialmen's liens arising from Tenant's work, provided Tenant promptly bonds or releases any such lien at Tenant's expense in a commercially reasonable manner.

5. PERMITTED USE; COMPLIANCE

Tenant shall use the Premises only for and for no other purpose without Landlord's prior written consent. Tenant shall at all times comply with applicable laws, codes and ordinances and maintain required licenses and approvals for the Permitted Use.

6. UTILITIES; SERVICES

Tenant shall be responsible for all utilities and services supplied to the Premises, including but not limited to electricity, gas, water, sewer, telephone and internet, unless otherwise specified in writing. If any utilities are provided by Landlord, Tenant shall reimburse Landlord for Tenant's proportionate share as reasonably determined by Landlord.

7. INSURANCE; INDEMNITY

Tenant shall maintain commercial general liability insurance with limits not less than per occurrence and property insurance covering Tenant's personal property and leasehold improvements. Tenant shall name Landlord as an additional insured with respect to Tenant's liability policies where reasonably required by Landlord. Tenant shall defend, indemnify and hold Landlord harmless from and against all claims arising from Tenant's use of the Premises, except to the extent caused by Landlord's gross negligence or willful misconduct.

8. ASSIGNMENT AND SUBLETTING

The Lease provision regarding assignment and subletting is hereby amended as follows: Tenant shall not assign, transfer or sublet all or any part of the Premises without Landlord's prior written consent, which consent shall not be unreasonably withheld for assignments or subleases to an entity that meets Landlord's financial criteria. Any attempted assignment without such consent shall be voidable at Landlord's option.

9. DEFAULT; REMEDIES

Except as expressly modified herein, the Lease's default provisions remain in full force. If Tenant fails to cure any monetary default within days after written notice, or any non-monetary default within days after written notice (or such longer period as is reasonably required), Landlord may exercise all remedies available under the Lease and at law or in equity, including termination, damages and recovery of attorneys' fees and costs.

Governing Law: This Addendum and the Lease shall be governed by and construed in accordance with the laws of the state in which the Premises are located without regard to conflict of law principles.

Entire Agreement: Except as expressly amended by this Addendum, the Lease remains unmodified and in full force and effect. This Addendum, together with the Lease, contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written agreements and understandings relating thereto.

Severability: If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall endeavor to replace the invalid or unenforceable provision with a valid provision that most closely approximates the economic effect and intent of the invalid provision.

Amendments; Waiver: No amendment, modification or waiver of any provision of this Addendum shall be effective unless in writing and signed by both parties. The waiver by either party of a breach of any provision shall not operate as a waiver of any subsequent breach.

Counterparts; Electronic Signatures: This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means (including facsimile or electronic signature) shall be binding for all purposes.

No Third-Party Beneficiaries: Except as expressly provided in the Lease, this Addendum is intended solely for the benefit of the parties hereto and not for any third party.
