What a Commercial Lease-Back Agreement Is and when it’s used

A Commercial Lease-Back Agreement is a contract where the seller of commercial property leases the same property back from the buyer for a defined term. This arrangement lets the seller free up capital while retaining occupancy, and it creates a landlord-tenant relationship governed by lease terms. Typical provisions cover rent, term length, maintenance responsibilities, insurance, default remedies, subletting, and options to renew. The document is used in asset sale-finance transactions, portfolio restructurings, and corporate relocations where continuity of operations is important.

Why a clear Commercial Lease-Back Agreement matters

A precise lease-back clarifies allocation of operational risk, preserves business continuity, and documents rent and maintenance obligations, reducing disputes between buyer and former owner.

Why a clear Commercial Lease-Back Agreement matters

Who typically completes or signs a Commercial Lease-Back Agreement

Final signatures frequently require counsel review and may involve a notary or witnesses depending on state requirements and whether the lease is recorded or contains transfer-of-title elements.

  • Seller: corporate representative or authorized officer responsible for occupancy and operational covenants.
  • Buyer/Landlord: property owner or authorized agent handling lease terms and rent collection.
  • Lender/Investor: loan servicer or investor representative who may require consent rights or subordination clauses.

Essential components to include in a professional Commercial Lease-Back Agreement

A robust lease-back addresses commercial terms, responsibilities, and enforcement mechanics so both parties understand rent, term, maintenance, insurance, dispute resolution, and transition at lease end.

Parties

Full legal names, entity types, and contact details for landlord and tenant; include authorized signatory names and title to avoid ambiguity.

Premises

Precise property description, suite or unit identifiers, and permitted uses; attach exhibits or floor plans if required for clarity.

Term & Rent

Lease commencement and expiration dates, rent amount, payment schedule, adjustment methods, escalation clauses, and security deposit terms.

Maintenance & Repairs

Allocation of responsibility for common areas, structural repairs, utilities, and any service-level covenants tied to operations.

Insurance & Indemnity

Required insurance types, minimum limits, naming of additional insureds, and indemnification obligations for losses or environmental liabilities.

Default & Remedies

Events of default, cure periods, landlord remedies, late fees, acceleration clauses, and procedures for surrender or re-entry.

Step-by-step: completing a Commercial Lease-Back Agreement

Follow these sequential steps to prepare, review, and finalize the lease-back so the document is enforceable and operationally ready.

  • 01
Gather Documents: Collect deed, operating agreements, prior leases, and insurance certificates.
  • 02
Draft Terms: Define rent, term, maintenance, and default provisions in a clear draft.
  • 03
Review with Counsel: Have legal and tax counsel review for liabilities and accounting treatment.
  • 04
Execute & Record: Sign, notarize if needed, and record any instruments required by local law.

How to set up an online signing workflow for the lease-back

Configure a digital workflow to assign roles, set signing order, and capture an audit trail for compliance and recordkeeping.

Field Configuration
Signing Order Specify sequential or parallel routing as appropriate.
Authentication Select email, SMS code, or stronger ID verification per risk level.
Required Fields Mark signature, date, and initial fields as mandatory.
Audit Options Enable IP, timestamp, and certificate capture for the signed file.

Where to send, file, and deliver the completed agreement

Determine destination routing based on whether the lease-back must be recorded, delivered to lenders, or retained for tax purposes.

  • Recording Office: Record deeds or leasehold interests at county recorder when required.
  • Lender Delivery: Provide executed copies to lender counsel and loan servicer.
  • Tax Records: Retain copies for IRS and accounting teams for tax reporting.
  • Tenant Files: Deliver executed tenant copy to property manager or tenant contact.

Digital signing and distribution: technical considerations

Ensure the chosen provider supports your compliance needs (HIPAA BAA if healthcare data present, 21 CFR Part 11 for FDA-regulated records) and preserves an admissible audit trail.

  • Integrations: Salesforce, NetSuite, Google Workspace
