COMMERCIAL LEASE EXTENSION AGREEMENT

Parties and Effective Date

This Commercial Lease Extension Agreement ("Extension") is made effective as of by and between the parties below, who agree to extend and modify the Original Lease as set forth herein.

A. Landlord and Tenant are parties to that certain Lease dated (the "Original Lease"), concerning the Premises identified above.

B. The parties desire to extend the term of the Original Lease and to modify certain terms and conditions of the Original Lease as provided in this Extension. Except as expressly modified by this Extension, all terms, covenants and conditions of the Original Lease shall remain in full force and effect.

Extension Term

1. Extension Term: The term of the Original Lease is hereby extended for an additional period commencing on and expiring on (the "Extension Term"), unless sooner terminated in accordance with the Original Lease or this Extension.

2. Possession: Possession of the Premises shall be delivered to Tenant in the same condition and on the same possession date terms as set forth in the Original Lease, subject to normal wear and tear.

Rent and Financial Terms

All payments of Rent and other sums due under the Lease shall be paid at the same place and in the same manner as required by the Original Lease, except that the parties agree that Rent shall be adjusted as set forth above for the Extension Term.

Utilities, Taxes and Operating Expenses

Tenant shall remain responsible for payment of utilities, operating expenses, common area maintenance, and real estate taxes as provided in the Original Lease. Any adjustment to Tenant's share of operating expenses during the Extension Term shall be in accordance with the Original Lease.

Maintenance, Repairs and Alterations

Tenant shall continue to maintain and repair the Premises as required by the Original Lease. No material alteration, improvement or structural change shall be made by Tenant during the Extension Term without Landlord's prior written consent as required by the Original Lease.

Insurance and Indemnity

Tenant shall maintain insurance and indemnity obligations in the types and amounts required by the Original Lease for the duration of the Extension Term. Landlord shall maintain insurance for the property as required by the Original Lease.

Default, Remedies and Termination

Except as expressly modified herein, the Default and Remedies provisions of the Original Lease shall apply during the Extension Term. Landlord's and Tenant's rights and remedies for default shall be cumulative and in addition to any other remedies provided by law.

Notices

All notices required or permitted under this Extension shall be given in accordance with the Notice provisions of the Original Lease. The parties' notice addresses for the Extension are set forth below and shall be effective for the Extension Term.

Miscellaneous Provisions

Governing Law: This Extension shall be governed by and construed in accordance with the laws of the state in which the Premises are located.

Entire Agreement: This Extension, together with the Original Lease, contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings relating thereto. If any provision of this Extension conflicts with the Original Lease, the provisions of this Extension shall control.

Counterparts and Electronic Signatures: This Extension may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Signatures delivered electronically or by facsimile shall be valid.

Authority

Each individual executing this Extension represents and warrants that such individual is duly authorized to execute and deliver this Extension on behalf of the party for whom they sign and that this Extension is binding upon such party in accordance with its terms.

Acknowledgment

By signing below, Landlord and Tenant acknowledge they have read this Extension, understand its terms, and agree that, except as expressly modified by this Extension, all provisions of the Original Lease shall remain in full force and effect for the Extension Term.
