Commission and Compensation:

Commission shall be earned and payable: upon execution of a lease agreement; and/or upon commencement of tenant occupancy.

Protection Period: If a lease is entered into within days after expiration or termination of this Agreement for a tenant introduced by Broker during the Listing Period, Owner shall owe Broker the commission described above.

Broker Authority & Marketing

Owner grants Broker authority to market, advertise, and show the Property, to place signage, to maintain keys and lockboxes, and to authorize cooperating brokers to show the Property. Owner authorizes the following marketing actions:

Tenant Improvements; Leasing Incentives

Owner may authorize tenant improvements, allowances, concessions or free rent as an inducement to lease. Any such expenditures shall be approved in writing by Owner prior to commitment by Broker. Specify allowances or caps below:

Representations, Indemnity & Liability

Owner represents and warrants that Owner has full authority to enter into this Agreement and to lease the Property, that Owner will disclose all material facts affecting the Property, and that there are no undisclosed leases, agreements, or encumbrances that would materially impair Owner's ability to perform. Owner agrees to indemnify and hold Broker harmless from liabilities, claims, damages, and costs, including reasonable attorneys' fees, arising from Owner's breach of this Agreement, misrepresentations, or failure to disclose material facts.

Broker's liability for any claim arising out of this Agreement shall be limited to actual direct damages and shall exclude consequential, punitive or special damages, except for damages resulting from Broker's willful misconduct or gross negligence.

Default; Termination; Remedies

This Agreement may be terminated by mutual written agreement or by either party upon material breach by the other if the breaching party fails to cure such breach within 30 days after written notice. Termination shall not relieve Owner of obligations to pay commissions earned prior to termination. In the event of dispute, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

This Agreement shall be governed by and construed in accordance with the laws of the state identified below. This Agreement constitutes the entire agreement between the parties regarding the listing of the Property and supersedes all prior agreements and understandings, whether written or oral. This Agreement may be amended only by written instrument executed by both parties.
