Tenant shall indemnify, defend and hold Landlord harmless from and against all claims, damages, liabilities, costs and expenses arising from Tenant's use or occupancy of the Premises, except to the extent caused by Landlord's gross negligence or willful misconduct.

Upon expiration or earlier termination Tenant shall surrender possession of the Premises in broom clean condition, with reasonable wear and tear excepted, and remove Tenant's personal property. Tenant shall be liable for holdover at of the Base Rent plus all other charges.

Tenant shall not assign this Lease or sublet the Premises without Landlord's prior written consent, which consent shall not be unreasonably withheld for financially qualified assignees. Any assignment or subletting without consent shall be void and constitute a default.
