COMMERCIAL OFFICE SPACE AGREEMENT

Effective Date:   This Commercial Office Space Agreement (the "Agreement") is entered into between the parties identified below for the leasing of the Premises described herein.

If Tenant fails to take possession on the Commencement Date due to Landlord default, the Commencement Date shall be adjusted to the actual date of possession. Tenant shall have no right to withhold Rent except as expressly provided in this Agreement.

RENT & PAYMENT

Rent is due in advance on the day of each month at Landlord's address for notices or at such other place designated by Landlord in writing.

USE, CONDITION & MAINTENANCE

Permitted use: . Tenant shall conduct its business in a manner that does not unreasonably interfere with other tenants or the safe operation of the building.

ALTERATIONS & IMPROVEMENTS

Tenant shall not make structural alterations to the Premises without Landlord's prior written consent. Tenant improvements to be performed by Tenant shall require submission of plans and proof of contractor insurance. All permitted improvements shall become part of the Premises and shall remain at termination unless otherwise agreed in writing.

INSURANCE & INDEMNITY

Tenant shall maintain commercial general liability insurance with limits of not less than $ per occurrence and property insurance as required by Landlord, naming Landlord as additional insured. Tenant shall indemnify and hold Landlord harmless from all claims arising from Tenant's use of the Premises except to the extent caused by Landlord's gross negligence or willful misconduct.

HAZARDOUS MATERIALS & ENVIRONMENTAL

Tenant shall not cause or permit the release, storage or use of hazardous substances on the Premises in violation of applicable law. Tenant shall comply with all environmental laws and shall promptly remediate any contamination caused by Tenant's activities at Tenant's expense. Landlord shall disclose known environmental conditions as provided below.

DEFAULT & REMEDIES

If Tenant fails to pay Rent or otherwise breaches this Agreement and does not cure within any applicable cure period, Landlord may pursue all remedies available at law or in equity, including termination of this Agreement, recovery of unpaid Rent, late charges, and costs of collection including reasonable attorneys' fees. Tenant's covenant to pay Rent is independent of Landlord's performance obligations.

ASSIGNMENT & SUBLETTING

Tenant shall not assign or sublet the Premises, in whole or in part, without Landlord's prior written consent, which consent shall not be unreasonably withheld for a creditworthy assignee. Any permitted assignment or sublease remains subject to the terms of this Agreement.

RENEWAL OPTION

Renewal option: Tenant shall have the option to renew for upon written notice to Landlord not less than days prior to expiration. Renewal rent shall be as provided in a renewal notice or as otherwise agreed in writing.

All notices under this Agreement shall be in writing and delivered by personal delivery, certified mail (return receipt requested), or commercial courier to the following addresses:

GOVERNING LAW & MISCELLANEOUS

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Premises are located. This Agreement, together with any attachments and exhibits executed by the parties, constitutes the entire agreement and supersedes all prior negotiations and agreements. No amendment shall be effective unless executed in writing by both parties.

DEFAULT CURE & REMEDIES

If Tenant fails to cure a monetary default within days after notice, Landlord may exercise remedies including termination, damages, and re-entry. Non-monetary defaults shall be cured within a commercially reasonable period following notice.
