COMMERCIAL PARKING AGREEMENT

This Commercial Parking Agreement ("Agreement") is made as of by and between Operator Name: , an entity type: organized under the laws of ("Operator"), and Client Name: , an entity type: organized under the laws of ("Client").

RECITALS

WHEREAS, Operator owns, manages, or controls certain real property and improvements located at (the "Facility"); and

WHEREAS, Client desires to obtain rights to use specified parking spaces within the Facility for vehicular parking, and Operator is willing to grant such rights on the terms and conditions set forth herein; and

WHEREAS, the parties intend that such parking rights be limited to the uses, term, and conditions described in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Spaces" means the specific parking stalls identified in writing and designated by Operator for Client's use. "Term" means the period during which this Agreement is in effect as set forth in Section 3. "Fees" means the sums payable by Client to Operator under Section 4.

2. GRANT OF LICENSE; PARKING SPACES

2.1 Grant. Subject to the terms and conditions of this Agreement, Operator grants to Client a non-exclusive license to use the Spaces identified below for the parking of operable motor vehicles by Client, its employees, invitees, and customers, during the Term.

2.2 Permitted Use. Client shall use the Spaces solely for vehicle parking and for no other purpose without Operator's prior written consent. Client shall not store materials, perform vehicle repairs, or use the Spaces for any hazardous, offensive, or unlawful purpose.

3. TERM; RENEWAL

3.1 Term. The Term of this Agreement shall commence on and shall expire on unless earlier terminated in accordance with this Agreement.

3.2 Renewal. This Agreement may be renewed only by written agreement executed by both parties; no conduct by either party shall be deemed an automatic renewal except as expressly set forth in a written amendment signed by both parties.

4. FEES; PAYMENT

4.1 Payment Terms. Client shall pay all Fees in advance on or before the first day of each calendar month at Operator's designated billing address. All sums not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law and Client shall reimburse Operator for all reasonable collection costs, including attorney fees.

5. ACCESS; OPERATION; SIGNAGE

5.1 Access. Client and its authorized users shall have access to the Spaces during the hours of subject to reasonable temporary closures for maintenance, safety, or special events.

5.2 Signage and Markings. Operator shall retain control over all signage, pavement markings, and traffic control devices. Client may install temporary signage only with Operator's prior written approval, which approval shall not be unreasonably withheld.

6. MAINTENANCE AND REPAIRS

Operator shall maintain the Facility in reasonable condition and shall be responsible for structural, surface, lighting, and drainage maintenance unless damage results from Client's negligence or misuse. Client shall promptly notify Operator of any hazardous conditions and shall cooperate with Operator to allow reasonable access for repairs.

7. INSURANCE

Client shall, at its expense, maintain commercial general liability insurance naming Operator as an additional insured with limits not less than the amount specified above, and shall furnish certificates evidencing such coverage upon request. Such insurance shall be primary and non-contributory with respect to claims arising out of Client's use of the Spaces.

8. INDEMNITY

Client shall indemnify, defend, and hold harmless Operator and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of Client's use of the Spaces, except to the extent caused by Operator's gross negligence or willful misconduct.

9. COMPLIANCE WITH LAWS

Client shall comply with all applicable laws, rules, regulations, and ordinances, including those concerning parking, traffic control, environmental protection, and disability access. Client shall not cause or permit any activity on the Facility that would violate any law or create a nuisance.

10. DEFAULT; REMEDIES

If either party defaults in the performance of any material obligation under this Agreement and fails to cure such default within thirty (30) days after written notice (or such shorter period if the default cannot be cured within thirty days and the defaulting party fails to diligently commence and pursue cure), the non-defaulting party may pursue any remedies available at law or in equity, including termination of this Agreement and recovery of damages.

11. ASSIGNMENT AND SUBLETTING

Client shall not assign this Agreement or sublet the Spaces, in whole or in part, without Operator's prior written consent, which consent shall not be unreasonably withheld for assignments to an affiliate or as part of a sale of substantially all of Client's assets. Any attempted assignment or subletting without consent shall be voidable at Operator's election.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered personally, by certified mail (return receipt requested), or by reputable overnight courier to the addresses below, or to such other address as a party may designate in writing.

13. AMENDMENT; WAIVER

This Agreement may be amended only by a written instrument executed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party to be charged, and no waiver of any default shall constitute a waiver of any subsequent default.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

16. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations, whether oral or written. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

MISCELLANEOUS PROVISIONS

16.1 Relationship of Parties. The relationship of the parties is that of licensor and licensee. Nothing in this Agreement creates any partnership, joint venture, employment, or agency relationship between the parties.

16.2 Survival. Provisions of this Agreement that by their nature should survive termination or expiration of this Agreement shall so survive, including but not limited to Sections 4, 7, 8, 10, and 16.

16.3 Remedies Cumulative. The rights and remedies provided in this Agreement are cumulative and in addition to any other rights or remedies at law or in equity.
