What the Commercial Rent Commencement Agreement Covers

The Commercial Rent Commencement Agreement is a written contract that specifies the date on which rent obligations begin under a commercial lease, and any adjustments to base rent, tenant fit-out periods, rent abatement, or prorated charges. It records landlord and tenant acknowledgments about possession, acceptance of premises, completion of repairs, and the precise effective commencement and rent commencement dates. Used alongside the master lease, this agreement resolves timing disputes and clarifies billing, taxes, and operating expense responsibilities that depend on when rent first accrues.

Why a Clear Commencement Agreement Matters

A Commercial Rent Commencement Agreement reduces ambiguity about when rent and related obligations start, protects both parties from unexpected charges, and creates a precise record used for rent calculation, tax reporting, and dispute resolution under the lease.

Why a Clear Commencement Agreement Matters

Who Typically Prepares and Signs This Agreement

Common users include landlords, tenants, property managers, and legal counsel handling commencement date disputes and rent calculations.

  • Landlords: confirm tenant occupancy date, rent commencement, and rent prorations to avoid billing disputes.
  • Tenants: document acceptance of premises, amortization of tenant improvements, and agreed rent-free periods.
  • Property managers: coordinate move-in, reconcile operating expenses, and maintain audit-ready records for accounting.

Each party should confirm authority and document retention responsibilities before executing the agreement.

Typical Signatories and Roles

Landlord Representative

An authorized landlord officer or property manager signs to confirm landlord performance, completion of landlord obligations, and the effective date of possession; include title and contact information to evidence authority.

Tenant Signatory

An authorized tenant officer, corporate designee, or individual tenant signs to accept possession terms, rent commencement, and any tenant improvement conditions; corporate tenants should attach a certificate of authority when required.

Essential Elements to Include in the Agreement

A professional Commercial Rent Commencement Agreement should be concise but complete, documenting dates, responsibilities, and any financial adjustments tied to the commencement event.

Commencement Dates

Specify both the lease commencement date and the rent commencement date separately, and state how each is determined if possession or acceptance is conditional or phased.

Rent Calculation

State the base rent, any prorations, first full rental payment date, and rules for calculating rent during partial months or initial free periods.

Tenant Improvements

Describe completion milestones for tenant improvements, responsibility for costs, inspection/acceptance criteria, and whether rent is abated during fit-out.

Possession & Acceptance

Document whether tenant acceptance is conditioned on completion of work, punchlist items, or official certificate of occupancy and how acceptance is evidenced.

Abatements & Credits

Include any rent-free periods, abatement formulas, store credits, or offsets and how they are applied against rent and operating expenses.

Exhibits & Attachments

Attach relevant exhibits such as move-in schedules, punchlists, tenant improvement budgets, or possession letters and reference them explicitly.

Step-by-Step: Completing and Executing the Agreement

Follow these sequential steps to prepare, review, and finalize a Commercial Rent Commencement Agreement accurately and in proper order.

  • 01
Prepare Document: Draft using the lease as reference and attach required exhibits.
  • 02
Verify Lease Terms: Confirm any conflicting dates, rent definitions, and lease amendment requirements.
  • 03
Set Dates: Enter effective and rent commencement dates clearly and in MM/DD/YYYY format.
  • 04
Sign and File: Obtain authorized signatures, notarize if required, and distribute executed copies to parties.

Typical Execution Flow for Electronic Signing

A typical eExecution workflow moves the agreement from preparation through signing and final distribution with an audit trail.

  • Place Fields: Add signature, date, and initial fields for each signer.
  • Assign Signers: Set signing order and authentication level for each participant.

Platform and File Requirements for eSubmission

Ensure file types and integrations match your organization's signing and storage policies before sending the agreement electronically.

  • File Formats: Use PDF or Word DOCX for best compatibility.
  • Integrations: Connect to cloud storage or ERP as required.
  • Authentication: Choose email, SMS, or KBA per risk level.

Keep an accessible audit trail and encrypted storage; select SSO or advanced authentication for high-value transactions or regulated industries.

Possession Date:

Date tenant takes physical control of premises; note any conditional acceptance.

Milestones From Draft to Occupancy

Map milestones sequentially to show drafting, approval, execution, and move-in events tied to the rent commencement timeline.

01

Drafting

Prepare agreement referencing lease and exhibits; define all dates and financial adjustments.

02

Negotiation

Resolve any date conflicts, abatement terms, and acceptance conditions with counsel input.

03

Execution

Obtain authorized signatures, notarize if required, and confirm effective dates in writing.

04

Common Preparation Mistakes to Avoid

  • Using inconsistent dates that conflict with the master lease, creating ambiguity over which date governs billing and obligations.
  • Failing to document acceptance conditions for tenant improvements, which can lead to disputes over premature rent charges.
  • Skipping signatory authority checks for corporate tenants or landlords, risking enforceability if an unauthorized person signs.
  • Neglecting to attach referenced exhibits or punchlists, leaving obligations undefined and increasing litigation risk.

Consequences of an Incorrect or Incomplete Agreement

Billing Disputes: Additional charges and interest may accrue from unclear commencement dates.
Legal Fees: Litigation or mediation costs to resolve date or payment disputes.
Tax Reporting Issues: Incorrect rent reporting can complicate tax filings and depreciation schedules.
Enforceability Risk: Missing signatures or improper authority can render the agreement voidable.
Operational Disruption: Delayed move-in or utility setups caused by unclear possession terms.
Credit Exposure: Tenant or landlord credit reporting impacts from unresolved payment timing.
