This Commercial Retail Lease Agreement ("Lease") is entered into by and between:

Any assignment or sublease will remain subject to the terms of this Lease and Tenant shall remain primarily liable for performance.

DEFAULT, REMEDIES AND CURE

Upon Tenant's uncured default, Landlord shall have all remedies available at law or in equity, including termination of this Lease, recovery of rent and damages, and re-entry. Landlord's acceptance of partial payments shall not waive default. The prevailing party in any action to enforce this Lease shall be entitled to recover reasonable attorneys' fees and costs.

CONDEMNATION; CASUALTY

If the Premises are wholly condemned or rendered unusable, this Lease shall terminate as to the affected portion and Tenant shall be entitled to no portion of the condemnation award except to the extent attributable to Tenant's trade fixtures or improvements. For casualty damage, Landlord shall repair structural damage within a commercially reasonable time, subject to insurance proceeds and the extent of damage.

ENVIRONMENTAL MATTERS

Tenant shall not cause or permit the presence, release or disposal of any hazardous materials in violation of applicable law. Tenant shall indemnify Landlord for any environmental contamination resulting from Tenant's operations. Landlord makes no representation that the Premises are free from hazardous conditions except as expressly set forth in writing elsewhere in this Lease.

AMERICANS WITH DISABILITIES ACT (ADA)

Tenant shall be responsible for compliance with the Americans with Disabilities Act and for making, at Tenant's expense, reasonable modifications necessary for Tenant's operations, except that Landlord shall remain responsible for common areas and structural elements unless otherwise agreed in writing.

All notices required or permitted under this Lease must be given in writing and delivered to the addresses below (or such other address as either party designates in writing).

DEFAULT AND REMEDIES

The occurrence of any of the following shall constitute an Event of Default by Tenant: (a) failure to pay Rent when due and such failure continues beyond the applicable cure period; (b) failure to perform any other covenant or obligation of Tenant under this Lease and failure to cure within the applicable cure period; (c) abandonment of the Premises; or (d) bankruptcy or insolvency proceedings by or against Tenant. Upon an Event of Default, Landlord may pursue all rights and remedies available at law or in equity.

GOVERNING LAW; ENTIRE AGREEMENT

This Lease shall be governed by and construed in accordance with the laws of the State of . This Lease, including all exhibits and addenda, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements, whether written or oral, relating to the Premises.

MISCELLANEOUS

Time is of the essence with respect to all provisions of this Lease.
