Rent and Additional Charges

Rent is due on the day of each month, payable in advance to Landlord at the address for notices or at such other place as Landlord designates.

If Tenant fails to pay rent within days after due date, Tenant will pay a late charge equal to the greater of: or percent of overdue amount.

Use and Occupancy

Tenant shall not use the Premises for any purpose other than the Permitted Use without Landlord's prior written consent. Tenant shall comply with all applicable laws, codes, ordinances and regulations affecting the Premises and Tenant's use thereof.

Utilities, Taxes, Operating Expenses

Tenant is responsible for and shall pay when due all utilities used on the Premises, including but not limited to electricity, gas, water, sewer, telephone, internet and refuse collection unless otherwise agreed in writing.

Operating expenses, taxes, and insurance for the property shall be allocated as follows:

Maintenance, Repairs and Alterations

Tenant shall maintain the Premises in good order and condition and shall, at Tenant's expense, make all routine repairs and replacements necessary due to Tenant's use. Landlord shall be responsible for structural repairs unless damage is caused by Tenant's acts or omissions.

Tenant shall not make material alterations, additions or improvements without Landlord's prior written consent. Any permitted alteration shall be performed in a good and workmanlike manner and comply with all applicable laws. Describe permitted alterations:

Insurance and Indemnity

Tenant shall obtain and maintain commercial general liability insurance with minimum limits of per occurrence and name Landlord as an additional insured. Tenant shall deliver certificates of insurance to Landlord prior to possession and upon renewal.

Tenant shall indemnify, defend and hold Landlord harmless from and against any claims, liabilities, losses, damages and expenses arising out of Tenant's use of the Premises, except to the extent caused by Landlord's gross negligence or willful misconduct.

Casualty and Condemnation

If the Premises are damaged by fire or other casualty, Landlord shall repair the damage within a reasonable time, provided such repair is economically feasible. If damage renders the Premises unusable and repair cannot be completed within days, either party may terminate this Lease and rent shall be apportioned to the date of damage.

Default and Remedies

Each of the following shall constitute an Event of Default by Tenant: (a) failure to pay rent or other sums when due; (b) failure to perform any material covenant or obligation and failure to cure such breach within days after receipt of written notice; (c) abandonment of the Premises; (d) insolvency or bankruptcy of Tenant.

Upon Tenant default, Landlord may pursue any remedy available at law or in equity, including termination, recovery of damages, re-entry and accelerated rent.

Assignment and Subletting

Tenant shall not assign, transfer or sublet any interest in this Lease without the prior written consent of Landlord, which consent shall not be unreasonably withheld for creditworthy assignees. Any attempted assignment without consent shall be void and constitute a default.

Environmental and Hazardous Materials

Tenant shall not cause, store, use or dispose of hazardous materials on the Premises except in compliance with all environmental laws and with Landlord's written consent. Tenant shall be responsible for any contamination caused by Tenant and shall indemnify Landlord for remediation costs.
