COMMERCIAL SPACE LEASE AGREEMENT

Landlord Responsibilities: Landlord shall maintain structural elements, roof and exterior walls, except to the extent damage is caused by Tenant. Tenant Responsibilities: Tenant shall maintain the interior of the Premises, including plumbing fixtures, interior finishes and non-structural systems.

Tenant shall not make any material alterations, additions or improvements without Landlord’s prior written consent, which shall not be unreasonably withheld. Tenant shall provide plans and obtain any required permits. At Lease expiration, Tenant shall remove Tenant’s trade fixtures and restore the Premises as required by Landlord unless otherwise agreed in writing.

Insurance; Indemnity

Tenant shall maintain liability and property insurance and shall name Landlord as an additional insured to the extent required by Landlord. Tenant shall provide certificates evidencing insurance prior to occupancy and upon renewal. Tenant shall indemnify, defend and hold Landlord harmless from and against any claims arising out of Tenant’s use or occupancy of the Premises, except to the extent caused by Landlord’s gross negligence or willful misconduct.

Environmental Matters

Tenant shall not cause or permit the presence, use, release or disposal of any Hazardous Materials on or about the Premises except for ordinary cleaning products used in typical commercial quantities. Tenant shall comply with all Environmental Laws and shall immediately notify Landlord in the event of any release or threatened release of Hazardous Materials.

Default; Remedies

Tenant shall be in default if Tenant fails to pay Rent within days after written notice, or if Tenant fails to cure any other breach within days after written notice. Landlord may terminate this Lease, recover possession, recover damages, and pursue any other remedies permitted by law.

Landlord’s acceptance of partial payments shall not waive Landlord’s rights hereunder. Tenant shall be liable for Landlord’s reasonable costs of enforcement, including attorneys’ fees and court costs.

Casualty and Condemnation

If the Premises are materially damaged by casualty, Landlord shall repair the damage using insurance proceeds, provided such repair can be completed within a commercially reasonable period. If damage is not repairable within a reasonable time or is caused by Tenant’s negligence, either party may elect to terminate this Lease. Awards for condemnation shall be the property of Landlord except Tenant may recover for Tenant’s trade fixtures and relocation costs to the extent awarded by the condemning authority.

Assignment and Subletting

Tenant shall not assign this Lease or sublet the Premises or any portion thereof without Landlord’s prior written consent, which shall not be unreasonably withheld, conditioned or delayed. Any attempted assignment or subletting without consent shall be void and a default under this Lease.

Surrender; Holding Over

Upon expiration or termination of the Lease, Tenant shall surrender the Premises in broom-clean condition and in the condition required by this Lease. Tenant shall be liable for holdover tenancy at a rate of of Base Rent plus any damages.

Default Remedies; Attorney Fees

The prevailing party in any action to enforce this Lease shall be entitled to recover reasonable attorneys’ fees and costs in addition to other relief. Remedies provided in this Lease are cumulative and in addition to any remedies at law or equity.
