COMMERCIAL SUBLEASE AGREEMENT

This Commercial Sublease Agreement (the "Sublease") is entered into as of by and between Sublessor Name: and Sublessee Name: .

RECITALS

A. Sublessor is tenant under a written lease dated (the "Master Lease") of certain premises described below (the "Premises"); and

Alterations, improvements or signs shall not be made by Sublessee without Sublessor's prior written consent and, where required by the Master Lease, Landlord's consent. Sublessee shall perform all alterations in compliance with applicable law and shall remove trade fixtures at expiration unless otherwise agreed.

INSURANCE

Sublessee shall, at Sublessee's expense, maintain commercial general liability insurance in an amount not less than per occurrence and property insurance as required by the Master Lease. Sublessee shall name Sublessor as an additional insured where required by the Master Lease.

COMPLIANCE WITH MASTER LEASE

This Sublease is subject and subordinate to all terms of the Master Lease. Sublessee acknowledges receipt of a copy of the Master Lease and agrees to perform all obligations of Subtenant under the Master Lease that are applicable to the Premises during the Term to the extent such performance does not conflict with Sublessee's express rights in this Sublease.

DEFAULT AND REMEDIES

If either party breaches any material term of this Sublease, the non-breaching party shall give written notice of default and the breaching party shall have days to cure. If not cured within the cure period, the non-breaching party may pursue all remedies at law or in equity, including termination, damages, and recovery of attorneys' fees and costs to the extent allowed by law.

ASSIGNMENT AND SUBLETTING

Sublessee shall not assign this Sublease or further sublet the Premises without Sublessor's prior written consent and, where required by the Master Lease, Landlord's prior written consent. Any assignment or subletting without required consent shall be void and constitute a material breach.

TERMINATION AND SURRENDER

Upon expiration or earlier termination, Sublessee shall surrender the Premises in the condition required by the Master Lease, reasonable wear and tear excepted. Removal of fixtures, restoration obligations and holdover provisions shall be governed by the Master Lease and this Sublease.

INDEMNITY

Sublessee shall indemnify, defend and hold harmless Sublessor and Landlord (to the extent permitted) from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Sublessee's use or occupancy of the Premises, except to the extent caused by Sublessor's gross negligence or willful misconduct.

GOVERNING LAW; ENTIRE AGREEMENT

This Sublease shall be governed by and construed in accordance with the laws of the State of . This Sublease, together with the Master Lease and any written attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and agreements.

NOTICES

All notices required or permitted under this Sublease shall be in writing and shall be delivered to the addresses above or to such other address as either party shall designate in writing.

MISCELLANEOUS

If any provision of this Sublease is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
