Transferor shall remain liable for obligations arising prior to the Effective Date unless Landlord executes a release in writing.

Notices

Default, Remedies and Miscellaneous

A breach of any material covenant of this Agreement by either party that remains uncured after ten (10) days' written notice for monetary defaults and thirty (30) days for non-monetary defaults shall constitute a default. The non-breaching party shall be entitled to all remedies available at law or in equity, including specific performance and recovery of costs and attorneys' fees incurred in enforcing this Agreement.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Premises are located. The parties agree that this Agreement, together with the Lease, constitutes the entire agreement between the parties relating to the assignment and supersedes all prior negotiations, representations and agreements.
