Use, Repairs & Alterations

Permitted Use: Lessee shall use the Premises solely for commercial warehousing, storage, distribution, and related ancillary office functions. Any other use requires Lessor's prior written consent, which shall not be unreasonably withheld.

Alterations: Lessee shall not make structural alterations or material improvements without Lessor's prior written consent. Any approved alterations shall be performed in compliance with laws and insured; removal and restoration obligations shall be stated in writing at the time of consent.

Insurance, Indemnity & Risk

Insurance Requirements: Lessee shall maintain commercial general liability insurance with limits not less than per occurrence, property insurance as required, and workers' compensation as required by law. Lessor shall be named as an additional insured for liability coverage to the extent related to Lessee's operations.

Access, Inspection & Security

Lessor or Lessor's agents may enter the Premises upon reasonable notice to inspect condition, to show to prospective purchasers or lenders, or to perform Lessor's obligations. In emergencies no prior notice is required. Lessee shall maintain all keys and security protocols; Lessor may require access copies with prior written notice.

Assignment, Subletting & Transfer

Assignment and Subletting: Lessee shall not assign this Lease or sublet the Premises without Lessor's prior written consent, which shall not be unreasonably withheld for qualified assignees. Any attempted assignment without consent shall be voidable by Lessor.

Default & Remedies

Events of Default: Failure to pay rent when due, breach of material lease covenants, insolvency, or abandonment shall constitute default. Lessee shall have a cure period of days for monetary defaults and days for nonmonetary defaults where reasonably curable. Remedies include termination, re-entry, recovery of rent, and recovery of costs and attorneys' fees as permitted by law.

Damage, Condemnation & Casualty

If the Premises are partially damaged by casualty, Lessor shall repair to the extent insurance proceeds allow; rent shall be apportioned for the period of restoration. If the Premises are substantially damaged or condemned, either party may elect to terminate this Lease as provided herein.

Notices

All notices required or permitted under this Lease shall be in writing and delivered to the addresses set forth below, by hand, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.

Brokers, Fees & Miscellaneous

Broker Representation: Each party represents that it has dealt with no broker or agent other than those identified in writing; the party responsible for broker commissions shall be as set forth in a separate written agreement.

Governing Law; Venue: This Lease shall be governed by and construed in accordance with the laws of the state in which the Premises are located. Venue for any action shall lie in the county where the Premises are located.

Entire Agreement; Amendment: This Lease, together with any exhibits and written amendments, constitutes the entire agreement between the parties and may be modified only by a signed writing.
