COMMISSION AGREEMENT ADDENDUM

This Commission Agreement Addendum (the "Addendum") is made effective as of Effective Date: by and between Company Name: with principal address: (hereinafter "Company"), and Representative Name: with address: (hereinafter "Representative"). The Company and Representative are each a "Party" and together the "Parties."

RECITALS

WHEREAS, the Parties entered into a Commission Agreement dated (the "Agreement"); and

WHEREAS, the Parties desire to amend certain terms of the Agreement regarding commission rates, payment timing, and adjust related administrative provisions as set forth herein; and

WHEREAS, except as expressly modified by this Addendum, all terms and conditions of the Agreement remain in full force and effect.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Addendum and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows:

1. AMENDMENT TO COMMISSION TERMS

1.1 Commission Rate. From and after the Effective Date, Section(s) of the Agreement that govern commissions are hereby amended so that the Representative shall be entitled to a commission equal to percent ( % ) of Net Revenues derived from transactions solicited by Representative in the Territory specified in the Agreement. "Net Revenues" shall mean gross receipts actually received by Company from such transactions, less returns, discounts, taxes collected on behalf of governments, and reasonable credits or allowances.

1.2 Commission Calculation. Commissions shall be calculated in accordance with the methodology set forth in the Agreement, as modified by this Addendum. Adjustments for refunds, credits, or chargebacks shall be applied consistent with Section 4 of this Addendum. Any dispute regarding calculation shall be resolved pursuant to Section 3.3 of this Addendum.

2. EFFECTIVE DATE AND TERM

2.1 Effective Date. The amendments set forth in this Addendum shall be effective as of (the "Effective Date").

2.2 Term. Unless earlier terminated in accordance with the Agreement or this Addendum, the amendment to commission terms shall remain in effect for the same duration as the Agreement, and shall automatically survive or expire in the same manner as set forth in the Agreement.

3. PAYMENT; REPORTING; DISPUTES

3.1 Payment Timing. Commissions due under this Addendum shall be paid within days following the end of the accounting period in which the relevant Net Revenues are received by Company. All payments shall be made in United States Dollars, unless otherwise mutually agreed in writing.

3.2 Payment Method; Taxes. Payments shall be remitted by electronic transfer or other method designated by Company. Representative is responsible for all taxes and withholdings applicable to commissions paid hereunder; Company shall withhold taxes only as required by applicable law and shall provide documentation of such withholdings upon request.

3.3 Statements and Disputes. Company shall deliver to Representative a statement describing Net Revenues and commission calculations for each payment period. Representative must notify Company in writing of any dispute to a statement within days after receipt of the statement. Absent timely written notice, the statement shall be deemed final and accepted.

4. CHARGEBACKS, RETURNS AND CLOBACK

4.1 Chargebacks. If Net Revenues giving rise to a paid commission are subsequently reduced due to returns, refunds, credits, adjustments, or chargebacks, Company shall be entitled to claw back the excess commission paid to Representative by (a) offsetting against future commission payments; (b) invoicing Representative for the overpayment; or (c) by such other lawful means as permitted by the Agreement.

4.2 Clawback Period. The Parties agree that Company may reclaim commissions paid on transactions subject to adjustment for a period of months following payment of the initial commission, unless otherwise required by applicable law.

5. EXPENSES

Representative shall be responsible for its own expenses incurred in performing its obligations under the Agreement and this Addendum, except for expenses that Company expressly agrees in writing to reimburse in advance. Any reimbursable expense must be supported by appropriate documentation and approved in writing by Company prior to incurrence.

6. CONFIDENTIALITY; NON-SOLICITATION

6.1 Confidentiality. Representative acknowledges that it will receive Confidential Information (as defined in the Agreement). Representative shall maintain the confidentiality of such information in accordance with the confidentiality provisions of the Agreement. For the avoidance of doubt, commission schedules and payment calculations constitute Confidential Information.

6.2 Non-Solicitation. During the term of the Agreement and for a period of months following termination, Representative shall not directly solicit or endeavor to induce employees or customers of Company to terminate or materially alter their relationship with Company in a manner adverse to Company, except as expressly permitted in the Agreement.

7. INDEPENDENT CONTRACTOR; COMPLIANCE

Representative acknowledges and agrees that it acts as an independent contractor and not as an agent, partner, or employee of Company. Representative shall comply with all applicable laws, rules, and regulations in performing under this Addendum and shall be solely responsible for all employment, payroll, and similar taxes related to its personnel.

8. INDEMNIFICATION; LIMITATION OF LIABILITY

Each Party shall indemnify, defend and hold harmless the other Party from and against losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from breach of this Addendum or the Agreement by the indemnifying Party, or from the indemnifying Party's negligence or willful misconduct. EXCEPT AS REQUIRED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES.

9. NOTICES

All notices required or permitted under this Addendum shall be in writing and shall be deemed delivered when delivered in person, or three (3) days after deposit in the United States mail, postage prepaid, or upon confirmed electronic transmission to the addresses provided above, or to such other address as either Party designates by written notice to the other Party in accordance with this Section.

10. MISCELLANEOUS

10.1 Governing Law. This Addendum shall be governed by and construed in accordance with the laws specified in the Agreement. To the extent the Agreement does not specify governing law, this Addendum shall be governed by the laws of the state selected by the Parties:

10.2 Entire Agreement. This Addendum, together with the Agreement, constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, regarding such subject matter, except as expressly preserved by the Agreement.

10.3 Severability. If any provision of this Addendum is held invalid or unenforceable by a court of competent jurisdiction, the remainder of this Addendum shall remain in full force and effect and shall be interpreted so as to best effectuate the Parties' intent.

10.4 Amendments and Waiver. No amendment, modification or waiver of any provision of this Addendum shall be effective unless in writing and signed by both Parties. No failure or delay by a Party in exercising any right shall operate as a waiver of that right.

10.5 Counterparts. This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be deemed binding for all purposes.
