What the Commission Agreement for Intruder Is

A Commission Agreement for Intruder is a written contract that defines how and when a party called the 'Agent' (who may be named Intruder if that is a trade or individual name) earns commissions from a Principal or company. The agreement sets the scope of covered transactions, commission rate or formula, triggering events for payment, reporting and invoicing requirements, and the agreement term. It also clarifies termination rights, dispute resolution, confidentiality, and any post-termination commission protections such as trailing commissions or clawbacks.

Why a Clear Commission Agreement Matters

A precise Commission Agreement reduces disputes, sets expectations for payment timing and calculation, and preserves tax and compliance records. It also documents consent and intent required for enforceability under the ESIGN Act (15 U.S.C. ch. 96) and UETA where applicable.

Why a Clear Commission Agreement Matters

Who Typically Uses This Commission Agreement

The agreement is used by companies engaging independent sales representatives, brokers, resellers, or referral partners where commissions are payable for business development or introductions.

  • Independent sales agents and brokers who need documented commission percentages and payment triggers.
  • Companies and principals that pay referral or placement fees and need audit-ready records.
  • Finance and payroll teams that require defined invoicing, tax reporting, and backup withholding guidance.

Clear role definitions and signatory authority reduce downstream disputes and speed payment processing.

Common Mistakes to Avoid

  • Failing to collect a W-9 or correct TIN, which can trigger backup withholding and reporting issues.
  • Using initials or unsigned exhibits that leave obligation timing unclear and complicate enforcement.
  • Not defining when commissions vest post-termination, causing contested trailing commission claims.
