COMMISSION PAYMENT ANNEX

This Commission Payment Annex (the "Annex") is entered into effective as of by and between:

WHEREAS, Principal engages in the sale or licensing of products and services described in the Master Agreement; and

WHEREAS, Recipient provides sales, introductions, or other services that may generate compensable transactions; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein and other good and valuable consideration, the parties agree as follows.

Definitions

"Gross Transaction Value" means the total cash consideration actually received by Principal from a transaction, excluding taxes collected on behalf of taxing authorities, credits for returns, and bona fide discounts. "Commissionable Transaction" means a sale, license, or other revenue event expressly designated as commissionable under the Master Agreement or this Annex.

Principal shall pay Recipient a commission equal to the Commission Rate applied to the Gross Transaction Value of each Commissionable Transaction, calculated net of returns, chargebacks and refunds. Commission Rate (flat): . If tiered rates apply, specify tiers below.

Principal will provide Recipient with a written statement for each payment period listing each Commissionable Transaction with sufficient detail to permit verification, including transaction description, transaction date, Gross Transaction Value, applied commission rate, and commission amount.

Payment Terms

Payments of undisputed amounts shall be made within days of Principal's invoice date. Late payments shall accrue interest at a rate of on the overdue balance.

Taxes and Withholding

Recipient is responsible for reporting and payment of any taxes on commissions unless Principal is required by law to withhold. If Principal is required to withhold, Principal will deduct such withholding and provide Recipient written notice and documentation of the withholding.

Adjustments, Disputes and Clawback

Principal may make post-payment adjustments for returns, refunds, credits, chargebacks or fraud within the Clawback Period of days following final settlement of the transaction. Disputes to any payment must be submitted in writing within days of receipt of the statement.

Audit and Records

Recipient shall retain records supporting commission calculations for a period of not less than three (3) years. Principal may, upon reasonable notice, audit such records during regular business hours no more than once per calendar year unless material discrepancies are found.

Confidentiality

The parties agree that commission calculations, rates, customer lists and payment information are Confidential Information and shall be treated in accordance with the confidentiality provisions of the Master Agreement or, if none, under the following standard: each party shall not disclose Confidential Information to third parties except as required by law.

Representations, Indemnification and Limitation of Liability

Each party represents that it has authority to enter this Annex. Each party agrees to indemnify the other for third-party claims arising from its breach of this Annex, negligence, or willful misconduct. Except for breaches of confidentiality or indemnity obligations, neither party shall be liable to the other for consequential or punitive damages.

Governing Law and Dispute Resolution

This Annex shall be governed by the laws of the state or jurisdiction specified below, without regard to conflict of law principles. Parties agree to seek resolution of disputes first through good faith negotiation; unresolved disputes shall be resolved by binding arbitration unless the parties mutually agree otherwise.
