Upon receipt of the Net Payable amount, Payee hereby releases and forever discharges Payor, its affiliates, successors and assigns from any and all claims, demands, causes of action, liabilities and obligations arising out of or related to the transaction referenced in this Release, including claims for additional compensation, fees, or expenses, except for claims arising from Payor's willful misconduct or gross negligence.
