Expenses and Reimbursement

Agent shall be responsible for its own ordinary business expenses unless pre-approved in writing by Principal. Reimbursable expenses require prior written approval and submission of receipts within days.

Records, Audit and Tax Treatment

Agent shall keep complete, accurate records of transactions and commissions for a period of years and shall permit Principal to audit such records upon reasonable notice during normal business hours.

Agent acknowledges that Agent is an independent contractor. Principal will not withhold payroll taxes for Agent. Any taxes, fees or other assessments on commissions are the responsibility of the party required by law to remit them.

Term, Termination and Effect of Termination

The initial term of this Agreement shall commence on the effective date and continue for months, and thereafter continue on a month-to-month basis until terminated as set forth herein. Either party may terminate without cause upon days' prior written notice. Termination for material breach may be immediate upon written notice if the breach is not cured within days.

Unless otherwise agreed, commissions for orders accepted by Principal prior to termination will be paid in accordance with the payment terms of this Agreement subject to reductions for returns, cancellations and chargebacks.

Confidentiality, Non-Solicitation and Exclusivity

Agent shall not disclose Principal's confidential information and shall not solicit Principal's customers for competing products during the term of this Agreement and for months following termination. Indicate whether appointment is exclusive for the territory:

Each party shall indemnify and hold harmless the other from third-party claims arising out of its negligence, willful misconduct or breach of this Agreement. This Agreement shall be governed by the laws of the state of without regard to conflict of law rules. Parties agree to attempt mediation prior to commencing litigation; if unresolved, disputes shall be resolved in the courts located in the governing state unless otherwise agreed in writing.
