COMMODATO TERM LEASE

This Commodato Term Lease (the "Lease") is made and entered into as of Effective Date: by and between Lessor: whose principal address is (the "Lessor"), and Lessee: whose principal address is (the "Lessee").

RECITALS

WHEREAS, Lessor is the lawful owner or authorized custodian of certain tangible property described as:

WHEREAS, Lessor desires to deliver possession of the Premises to Lessee for use without transfer of ownership, and Lessee desires to accept possession for the limited purposes and subject to the terms and conditions set forth in this Lease.

WHEREAS, the parties intend this arrangement to be a commodato (gratuitous loan for use) except as otherwise expressly provided in this Lease.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. GRANT; PREMISES

1.1 Grant. Subject to the terms of this Lease, Lessor hereby delivers to Lessee, and Lessee accepts, possession of the Premises described above for Lessee's exclusive use during the Term set forth in Section 2. This grant is a loan for use only and does not transfer fee title or any estate in the Premises to Lessee.

2. TERM

2.1 Term. The initial term of this Lease shall commence on Commencement Date: and shall expire on Expiration Date: , unless earlier terminated in accordance with this Lease.

2.2 Early Termination. Either party may terminate this Lease for cause upon written notice to the other party specifying the grounds for termination and providing an opportunity to cure within Cure Period (days): days where curable. Immediate termination is permitted for material breach that is not curable or for reasons of safety or illegality.

3. USE; POSSESSION

3.1 Permitted Use. Lessee shall use the Premises only for Permitted Use: and for no other purpose without Lessor's prior written consent. Lessee shall not use the Premises for any unlawful purpose and shall comply with all applicable laws, regulations, and ordinances.

3.2 Condition on Delivery. Lessee acknowledges receipt of the Premises in its present condition and accepts responsibility to maintain the Premises in substantially the same condition, reasonable wear and tear excepted.

4. COMMODATO FEE; PAYMENT; DEPOSIT

4.1 Commodato Fee. The commodato fee (if any) payable by Lessee is: payable in accordance with a separate written schedule or as otherwise agreed in writing. If no amount is entered, the parties acknowledge that the loan is gratuitous.

4.2 Security Deposit. Lessee shall deliver Security Deposit amount: if required by Lessor. Any deposit will be held in trust and applied only as allowed by law and this Lease.

5. MAINTENANCE; REPAIRS

5.1 Lessee Obligations. Lessee shall keep the Premises in a clean and safe condition, perform routine maintenance, and promptly repair any damage caused by Lessee or Lessee's agents, invitees or contractors. Lessee shall not permit any waste or nuisance.

5.2 Lessor Obligations. Lessor shall be responsible for structural repairs to the extent required by applicable law or expressly agreed in writing. Lessor shall provide Lessee with reasonable access to utilities necessary for the permitted use.

6. ALTERATIONS; IMPROVEMENTS

Lessee shall not make any structural alterations, additions or improvements to the Premises without Lessor's prior written consent. Any permitted alterations shall be performed in a workmanlike manner, at Lessee's expense, and shall become part of the Premises and remain with the Premises unless the parties agree otherwise in writing.

7. INSURANCE

7.1 Lessee Insurance. Lessee shall maintain liability insurance covering its use of the Premises with minimum limits of Liability Amount (per occurrence): and property insurance as appropriate for Lessee's property.

7.2 Evidence of Coverage. Upon request, Lessee shall furnish Lessor with certificates of insurance evidencing coverage and naming Lessor as an additional insured with respect to Lessee's operations under this Lease to the extent permitted by the policies.

8. INDEMNITY

Lessee shall indemnify, defend and hold harmless Lessor and its officers, agents and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with Lessee's use of the Premises, breach of this Lease, or negligent or willful acts of Lessee or Lessee's invitees, except to the extent caused by the gross negligence or willful misconduct of Lessor.

9. ASSIGNMENT AND SUBLETTING

Lessee shall not assign this Lease or sublet the Premises, in whole or in part, without Lessor's prior written consent, which consent shall not be unreasonably withheld when assignment or subletting will not result in increased risk of damage or liability to Lessor.

10. DEFAULT; REMEDIES

10.1 Events of Default. The following shall constitute events of default: (a) failure to return the Premises on the expiration or termination of the Term; (b) failure to cure any material breach after the cure period provided in Section 2.2; (c) abandonment of the Premises; or (d) Lessee's insolvency or appointment of a receiver for Lessee's assets.

10.2 Remedies. Upon an event of default, Lessor may, in addition to any other rights or remedies available at law or in equity, terminate this Lease, recover possession of the Premises, recover damages for loss of use, and recover reasonable costs and attorneys' fees incurred in enforcing Lessor's rights.

11. SURRENDER

Upon expiration or termination of this Lease, Lessee shall surrender the Premises to Lessor in the same condition as received, ordinary wear and tear excepted, and remove all personal property belonging to Lessee. Lessee shall repair any damage caused by removal of personal property.

12. ACCESS; INSPECTION

Lessor and Lessor's agents shall have the right to enter the Premises upon reasonable prior notice to inspect the Premises, to make necessary repairs, or to show the Premises to prospective lenders or purchasers; provided that in emergencies Lessor may enter without prior notice.

13. NOTICES

All notices under this Lease shall be in writing and shall be delivered personally, by certified mail (return receipt requested), or by nationally recognized courier to the addresses below or to such other addresses as the parties may designate in writing.

14. WAIVER; AMENDMENTS; COUNTERPARTS

No waiver of any provision of this Lease shall be effective unless in writing and signed by the party against whom enforcement is sought. This Lease may be amended only by a written instrument signed by both parties. This Lease may be executed in counterparts, each of which shall be deemed an original but all of which shall constitute one and the same instrument.

15. GOVERNING LAW

This Lease shall be governed by and construed in accordance with the laws of the Governing State: without regard to principles of conflicts of law.

16. ENTIRE AGREEMENT

This Lease, together with any written exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral.

17. SEVERABILITY

If any provision of this Lease is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and the parties shall endeavor in good faith to replace the invalid provision with a valid provision that most closely approximates the intent and economic effect of the invalid provision.
