COMMON STOCK WARRANT AGREEMENT

THIS COMMON STOCK WARRANT AGREEMENT (the Warrant Agreement) is made as of (Issue Date), by and between Issuer: , a corporation organized under the laws of (Issuer), and Holder: (Holder).

RECITALS

WHEREAS, Issuer desires to grant to Holder, and Holder desires to accept from Issuer, the right to purchase common stock of Issuer pursuant to the terms and conditions set forth herein; and WHEREAS, the parties intend that this Warrant Agreement set forth the rights and obligations of Issuer and Holder with respect to such warrant.

1. GRANT OF WARRANT

Issuer hereby grants to Holder, subject to the terms and conditions contained in this Warrant Agreement, the right and option to purchase from Issuer up to shares of Issuer's common stock, par value per share (the Shares), of the class designated as .

2. EXERCISE PRICE AND PAYMENT

3. EXERCISE PROCEDURE

To exercise this Warrant, Holder shall deliver to Issuer a duly executed written notice of exercise in substantially the form attached hereto as Exhibit A (Exercise Notice), specifying the number of Shares to be purchased, accompanied by payment in full of the aggregate Exercise Price. The date of exercise shall be the date on which Issuer receives a properly completed Exercise Notice and cleared funds for the Exercise Price.

4. TERM; EXPIRATION

This Warrant shall be exercisable, in whole or in part, at any time following the Issue Date through and including (Expiration Date). At the close of business on the Expiration Date any unexercised portion of this Warrant shall automatically terminate and be of no further force or effect.

5. ADJUSTMENTS; ANTI-DILUTION

The number and kind of Shares purchasable hereunder and the Exercise Price shall be subject to adjustment upon stock splits, stock dividends, combinations, reclassifications, recapitalizations, mergers or other corporate events affecting Issuer's common stock. Any adjustment shall be made equitably so as to preserve the Holder's proportionate economic interest. No adjustment shall entitle Holder to receive any fractional share; fractional interests shall be rounded to the nearest whole share and cash paid in lieu of any remaining fractional share.

6. TRANSFER RESTRICTIONS

This Warrant and the rights evidenced hereby may not be transferred, assigned or otherwise disposed of except in compliance with applicable securities laws and the Issuer's organizational documents. Any attempted transfer in violation of this Section shall be void ab initio. Issuer may require, as a condition to issuance of Shares upon exercise, an opinion of counsel reasonably satisfactory to Issuer or other evidence regarding compliance with applicable law.

7. REGISTRATION; LEGENDS

Certificates for Shares issued upon exercise of this Warrant shall bear any legends required by applicable securities laws or by restrictions set forth in Issuer's organizational documents. Issuer may place a restrictive legend on any certificate representing Shares issued upon exercise, which legend shall be removed when, in Issuer's reasonable determination, removal is permitted under applicable law.

8. REPRESENTATIONS AND WARRANTIES

(a) Issuer represents and warrants to Holder that Issuer is duly organized and validly existing under the laws of its jurisdiction of incorporation and has the requisite corporate power and authority to enter into this Warrant Agreement and to perform its obligations hereunder.

(b) Holder represents and warrants to Issuer that Holder has full power and authority to enter into this Warrant Agreement and that this Warrant Agreement constitutes a valid and binding obligation of Holder, enforceable in accordance with its terms. Holder further represents that, except as disclosed in writing to Issuer prior to the Issue Date, Holder is acquiring this Warrant for investment for Holder's own account and not with a view to distribution.

9. TAXES

All taxes, fees and other governmental charges (excluding taxes imposed on Issuer's income) that arise in connection with the issuance of Shares upon exercise of this Warrant shall be paid by Holder. Issuer shall neither be responsible for nor liable to Holder for the payment of any such taxes.

10. NOTICES

All notices, consents and communications required or permitted under this Warrant Agreement shall be in writing and shall be delivered to the addresses set forth below (or to such other address as a party may designate by notice).

11. MISCELLANEOUS

(a) Governing Law. This Warrant Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of laws provisions.

(b) Amendment and Waiver. Any provision of this Warrant Agreement may be amended, waived or modified only by a written instrument signed by Issuer and Holder.

(c) Counterparts. This Warrant Agreement may be executed in counterparts, each of which shall be deemed an original, and which together shall constitute one and the same instrument.
