WHEREAS

WHEREAS, Client requires technical services to determine the location and/or communications metadata associated with one or more telecommunications devices or numbers (the Services); and

WHEREAS, Provider represents that it is duly qualified and possesses the technical capability to perform targeted phone pings and to collect, analyze, and securely deliver results, subject to applicable law and the terms of this Agreement.

Scope of Work

Provider shall perform the Services described below in accordance with the specifications, limitations, and authorization provided by Client. Provider's obligations are strictly limited to those Services expressly set forth in this Scope of Work.

Authorization, Representations, and Compliance

Client represents and warrants that Client is the owner of the target device(s) or has obtained all necessary consents and legal authorizations from the subscriber or lawful custodian to request the Services described herein. Client further represents that the use of information obtained will comply with all applicable laws, regulations, and third-party terms.

Payment Terms

Client shall pay Provider the fees set forth below in consideration for the Services. Fees do not include any third-party carrier or legal fees, which are Client's responsibility unless otherwise agreed in writing.

Term and Termination

This Agreement shall commence on Start Date: and terminate on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for the notice period specified above. Provider may immediately suspend Services if Client fails to timely pay fees.

Confidentiality

Each party shall treat all non-public information disclosed by the other party in connection with this Agreement as Confidential Information. Provider shall implement industry-standard technical and organizational safeguards to protect location data and communications metadata. Confidential Information shall not be used or disclosed except (a) to perform the Services, (b) as required by law or valid legal process, or (c) with the disclosing party's prior written consent. In the event of compelled disclosure, the compelled party shall provide prompt notice to the other party where permissible.

Indemnification and Limitation of Liability

Client shall indemnify and hold Provider harmless from claims arising out of Client's failure to obtain required consents or lawful authority. Provider's liability for damages arising out of or related to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Provider under this Agreement; in no event shall Provider be liable for incidental, consequential, special, or punitive damages.
