What a Communication Texting Agreement Is

A Communication Texting Agreement is a written contract that sets the terms under which one party consents to receive text messages and other mobile communications from another party. It defines message purpose, frequency, permitted content, opt-in and opt-out procedures, data use and privacy disclosures, and any limits on liability. For businesses, it documents consent to comply with TCPA and related state law requirements; for providers and consumers, it clarifies expectations about message charges, authentication, and record retention to ensure enforceability and operational clarity.

Why this Agreement Matters for Compliance and Clarity

A Communication Texting Agreement documents recipient consent, reduces TCPA and state-law risk, sets clear service expectations, and establishes recordkeeping requirements. It helps organizations demonstrate lawful intent and creates a consistent customer experience while preserving rights to opt out and to limit message content and timing.

Why this Agreement Matters for Compliance and Clarity

Who Typically Prepares or Signs This Agreement

Businesses and service providers use this agreement to obtain mobile consent, while consumers use it to understand messaging terms.

  • Marketing teams securing promotional opt-ins and segmenting message frequency preferences.
  • Customer support using texts for appointment reminders, status updates, and quick responses.
  • Healthcare and finance teams handling sensitive communications with added privacy and consent controls.

Regulators, legal teams, and vendor partners also reference these agreements for compliance reviews and vendor onboarding.

Typical Signers and Their Roles

Marketing Manager

A Marketing Manager signs to confirm consent language for promotional texting, documents opt-in segments, and ensures recipients receive disclosure about message frequency and data usage. They coordinate opt-out handling and verify that campaign workflows match consent captured in the agreement.

Compliance Counsel

Compliance Counsel reviews TCPA and state-law implications, confirms required consumer disclosures are present, advises on acceptable authentication and record retention, and signs when the agreement aligns with company policies and regulatory expectations.

Essential Fields and Data Elements to Capture

Recipient Phone: Enter full number in E.164 format.
Consent Record: Timestamp, IP, and opt-in text.
Message Purpose: Clear description of allowed messages.
Opt-Out Instructions: SMS STOP process stated plainly.

Class Action Risk: Large aggregate liability
Recordkeeping Gaps: Loss of proof of consent

Common Preparation Errors to Avoid

  • Failing to capture express written consent for promotional messages leads to TCPA exposure and costly dispute resolution, including class-action risk.
  • Using unclear opt-out language or placing it behind menus reduces enforceability and increases complaint and regulatory scrutiny.
  • Neglecting to document the exact opt-in channel, date, and message content makes it difficult to prove consent later.
  • Relying on single-factor identity checks without logging IP or device info increases risk of misattributed signatures.
