COMMUNITY GUIDELINES AND PARTICIPATION AGREEMENT

RECITALS

WHEREAS, Organization operates a community, forum, event series, or platform intended to promote information exchange, collaboration, and communal activities among registered participants; and

WHEREAS, Participant seeks to participate in the community and agrees to comply with the policies, standards, and enforcement mechanisms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the responsibilities, payment terms (if applicable), confidentiality obligations, and dispute resolution framework governing participation in the community.

SCOPE OF COMMUNITY ACTIVITIES

COMMUNITY STANDARDS

Participants must conduct themselves in a manner that respects the safety, dignity, and property of other participants and the Organization. The following rules are examples of enforceable standards; the Organization may adopt additional reasonable rules by written notice to Participant.

Enforcement measures may include content removal, temporary suspension, or permanent removal of Participant from the community in response to violations. Enforcement will be carried out in accordance with the Organization's procedures and any applicable law.

PAYMENT TERMS

If participation requires fees, the following terms apply:

All fees are due in the currency agreed above. The Organization reserves the right to suspend access for nonpayment after providing the notice period set out in Term and Termination.

TERM AND TERMINATION

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Agreement, continues until the End Date.

Either party may terminate this Agreement immediately for material breach by the other party that is not cured within a reasonable cure period after written notice, or immediately for conduct that creates material risk to other participants or the Organization.

CONFIDENTIALITY

Participant acknowledges that during participation they may receive or observe confidential, proprietary, or trade secret information of the Organization or other participants. Participant shall: (a) hold such information in strict confidence; (b) not disclose such information to any third party except with prior written consent or as required by law; and (c) use such information only to the extent necessary to perform authorized community activities. Confidential information does not include information that is publicly known through no wrongful act of Participant or independently developed without reference to confidential materials.

INTELLECTUAL PROPERTY AND CONTENT LICENSE

Unless otherwise agreed in writing, Participant retains ownership of original content they create. By posting or contributing content in the community, Participant grants Organization a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute the contributed content for the purposes of operating, promoting, and improving the community, subject to applicable privacy commitments and consents.

ENFORCEMENT AND REMEDIES

Remedies for violation of this Agreement include, without limitation, content removal, suspension, termination of access, and pursuit of injunctive and monetary relief. The Organization's exercise of a remedy does not preclude the pursuit of additional remedies available by law or equity.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by Organization and set forth here:

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any written attachments or schedules, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior representations, negotiations, or agreements. Any modification or amendment must be in writing and signed by authorized representatives of both parties to be effective.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure or delay by either party to enforce any right shall not constitute a waiver of that right.
