COMMUNITY SERVICES CONTRACT

This Community Services Contract ("Contract") is entered into on the day of , by and between Provider Name: (\"Provider\") and Recipient Name: (\"Recipient\"). Provider and Recipient may be referred to individually as a \"Party\" and collectively as the \"Parties.\"

RECITALS

WHEREAS, Provider has experience, personnel, equipment and expertise to perform community services consisting of outreach, program delivery, and related activities described in this Contract; and

WHEREAS, Recipient desires to obtain such services for the benefit of the community and has authority to procure and pay for the services described herein; and

WHEREAS, the Parties intend to set forth their respective rights and obligations with respect to the provision, payment and oversight of such services.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Contract, the following terms shall have the meanings set forth below:

1.1 "Services" means the community services and deliverables described in Section 2, including any attachments, schedules, or statements of work incorporated by reference. 1.2 "Confidential Information" means information that is designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure.

2. SCOPE OF SERVICES

2.1 Provider shall plan, coordinate and deliver community services including but not limited to: outreach, education, case coordination, volunteer management, and reporting as described in the attached Service Description. Provider shall perform the Services in a professional, timely and workmanlike manner in accordance with industry standards.

3. TERM

3.1 This Contract shall commence on the effective date set forth above and shall continue in effect until unless earlier terminated in accordance with Section 12.

4. COMPENSATION AND PAYMENT

4.1 Recipient shall pay Provider for Services in accordance with the fee schedule set forth below and any attached budgets. Compensation shall constitute full payment for all labor, materials, equipment, overhead and profit, unless expressly agreed otherwise in writing.

4.2 Invoices shall be submitted by Provider to Recipient monthly or upon completion of milestones set forth above. Payment is due within days of Recipient's receipt of a proper invoice. Late payments shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum permitted by law.

5. INDEPENDENT CONTRACTOR

Provider is an independent contractor and not an employee, agent, partner or joint venturer of Recipient. Provider shall have sole responsibility for payment of wages, taxes, benefits and insurance for Provider's personnel.

6. INSURANCE

6.1 Provider shall maintain, at its expense, insurance coverage customary for the services to be provided, including general liability and professional liability where applicable, with limits reasonably acceptable to Recipient. Provider shall provide certificates of insurance upon request.

7. CONFIDENTIALITY

7.1 Each Party shall protect Confidential Information of the other Party using at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care. Confidential Information shall not include information that is publicly known, rightfully received from a third party without an obligation of confidentiality, or independently developed without use of the other's Confidential Information.

7.2 If a Party is required by law to disclose Confidential Information, it shall provide prompt written notice to the other Party and cooperate to limit the disclosure or obtain protective measures.

8. DATA PROTECTION

Provider shall implement and maintain appropriate administrative, technical and physical safeguards to protect personal data collected, processed or stored in connection with the Services. Provider shall comply with applicable data protection and privacy laws.

9. INDEMNIFICATION

9.1 Provider shall indemnify, defend and hold harmless Recipient and its officers, directors, employees and agents from and against any third-party claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of Provider's negligent acts, omissions or willful misconduct in performing the Services.

9.2 Recipient shall indemnify Provider to the extent claims arise from Recipient's negligent acts or breaches of this Contract.

10. COMPLIANCE WITH LAWS

Provider shall comply with all applicable federal, state and local laws, regulations and ordinances in performing the Services, including those relating to labor, non-discrimination, health and safety.

11. RECORDS, REPORTING AND AUDIT

Provider shall maintain accurate records of services performed, personnel hours, expenses and other information necessary to support invoices and compliance. Recipient shall have the right to audit such records upon reasonable notice during normal business hours.

12. TERMINATION

12.1 Either Party may terminate this Contract for material breach by the other Party if the breaching Party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

12.2 Either Party may terminate this Contract for convenience upon sixty (60) days prior written notice. In the event of termination, Recipient shall pay Provider for Services performed through the effective date of termination and for non-cancellable obligations incurred prior to termination.

13. NOTICES

Notices under this Contract shall be in writing and delivered by hand, certified mail, or nationally recognized courier to the addresses below and shall be effective upon receipt.

14. AMENDMENT, WAIVER AND COUNTERPARTS

14.1 This Contract may be amended only by a written instrument signed by authorized representatives of both Parties. 14.2 No waiver of any provision shall be effective unless in writing signed by the waiving Party. 14.3 This Contract may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one agreement.

15. GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the state jurisdiction specified by the Parties below without regard to conflict of laws principles.

16. ENTIRE AGREEMENT; SEVERABILITY

This Contract, including any attachments and schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Contract is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith a valid substitute provision that effects the Parties' intent.

17. MISCELLANEOUS

17.1 Assignment: Neither Party may assign its rights or delegate its obligations under this Contract without the prior written consent of the other Party, except to a successor entity in connection with a merger, consolidation or sale of substantially all assets. 17.2 Relationship of the Parties: Nothing contained herein shall be construed to create a partnership, agency, or joint venture between the Parties.
