Community Services Memorandum of Understanding (MOU)

This Memorandum of Understanding (MOU) is entered into as of by and between:

WHEREAS

WHEREAS, Party A provides community program management and outreach services and wishes to engage Party B to assist with delivery of specific community services described herein; and

WHEREAS, Party B possesses the personnel, expertise, and capacity to perform the services to be provided under this MOU and will perform such services in coordination with Party A to advance community goals; and

WHEREAS, the parties desire to set forth certain understandings and responsibilities regarding scope, payment, reporting, confidentiality, and other material terms governing the collaboration.

SCOPE OF SERVICES

Party B shall provide services, activities, and deliverables as set forth below. Party B will perform duties in a timely, professional manner consistent with applicable professional standards and as coordinated with Party A.

PAYMENT TERMS

In consideration for satisfactory performance of the services described above, Party A will compensate Party B on the terms set forth below.

Late payments shall incur interest and administrative charges as set forth below:

TERM AND TERMINATION

This MOU shall commence on and shall continue in effect until unless earlier terminated in accordance with this section.

Either party may terminate this MOU for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach if the breaching party fails to cure within a commercially reasonable cure period following written notice.

CONFIDENTIALITY

Each party acknowledges that, in the course of performance, it may obtain Confidential Information from the other party. "Confidential Information" means non-public business, technical, financial, or personal data clearly designated as confidential or which by its nature should reasonably be treated as confidential. Each party agrees not to disclose Confidential Information to third parties and to use Confidential Information only for performance under this MOU.

Confidentiality obligations shall survive termination of this MOU for a period of unless otherwise required by law.

INSURANCE AND INDEMNIFICATION

Party B shall maintain, at its expense, insurance coverage sufficient to cover the activities contemplated by this MOU, including general liability insurance with limits not less than per occurrence. Upon request, Party B shall provide certificates evidencing required coverage.

Each party shall indemnify, defend, and hold harmless the other party and its officers, employees, and agents from and against claims, liabilities, losses, and expenses arising out of the negligent acts or omissions of the indemnifying party in connection with this MOU, subject to applicable law.

REPORTING; RECORDS; INSPECTION

GOVERNING LAW; ENTIRE AGREEMENT

This MOU shall be governed by and construed in accordance with the laws of without regard to conflict of law principles.

This MOU contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. Any amendment or modification to this MOU must be in a writing signed by authorized representatives of both parties.

NOTICES

All notices under this MOU shall be in writing and delivered to the contact information below by hand, certified mail (return receipt requested), or nationally recognized courier. Notices are effective upon receipt.

MISCELLANEOUS

Relationship of Parties: The parties are independent contractors. Nothing in this MOU shall create an agency, partnership, joint venture, or employment relationship. Neither party has the authority to bind the other except as expressly provided in writing.

Severability: If any provision of this MOU is held invalid or unenforceable, the remainder of this MOU shall remain in full force and effect.
