Recitals

WHEREAS, the Service Provider operates the Community Services Parish Center providing community, educational and support services to residents and organizations; and

WHEREAS, the Client desires to engage the Service Provider to perform certain community services and facility use described herein, and the Service Provider agrees to provide such services under the terms and conditions of this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows.

Invoicing and Due Date: The Service Provider will issue invoices in accordance with the payment schedule. Payments are due within days of invoice date.

Late Payment: Late payments shall accrue interest at per month (or the maximum allowed by law, if less). Client shall also reimburse Service Provider for reasonable collection costs and attorneys' fees.

Term and Termination

Effective Date: This Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination shall not relieve Client of obligation to pay for services performed through the effective date of termination.

Termination for Cause: Either party may terminate immediately for material breach if the breaching party fails to cure such breach within 15 days of written notice specifying the breach.

Confidentiality

Each party acknowledges that during performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public business, financial, programmatic, personnel or technical information disclosed in any form. Each party shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, (b) use Confidential Information solely to perform obligations under this Agreement, and (c) not disclose Confidential Information to third parties except to those employees, agents or contractors with a need to know and who are bound to maintain confidentiality. Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, or that was already lawfully in the receiving party's possession.

Upon termination or request, receiving party shall promptly return or destroy Confidential Information and certify such return or destruction in writing if requested.

Insurance and Indemnification

Service Provider shall maintain commercial general liability insurance and any other insurance reasonably necessary for the performance of services. Certificates of insurance will be provided upon request. Each party agrees to indemnify and hold harmless the other from losses, liabilities, damages and expenses arising from its negligence or willful misconduct in connection with this Agreement, except to the extent caused by the other party's negligence or willful misconduct.

Compliance with Law

Each party shall comply with all applicable federal, state and local laws, ordinances, rules and regulations in the performance of its obligations under this Agreement, including but not limited to requirements related to health and safety, nondiscrimination and privacy of personally identifiable information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Community Services Parish Center is located, without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the courts of that state for any disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, including any attachments or exhibits signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment, modification or waiver shall be effective unless in writing and signed by authorized representatives of both parties.
