Parties

This Community Social Contract (the Agreement) is entered into by and between:

Recitals

WHEREAS, the Community Name: seeks to establish shared standards of conduct, mutual responsibilities, and cooperative activities among members and partners; and

WHEREAS, the Partner Organization / Individual Name: has agreed to collaborate with the community to advance social, cultural, or service objectives as set forth herein; and

WHEREAS, the parties intend by this Agreement to set forth binding expectations, procedures for decision-making, resource allocation, and mechanisms for resolving disputes within the scope of the Community's activities.

Scope of Work

The parties agree to collaborate on the community activities and obligations described below. The parties acknowledge that the obligations are intended to be cooperative, transparent, and consistent with the community's values.

Payment Terms

If compensation is provided for services or administrative support under this Agreement, the parties agree to the following payment structure.

Payments are due in accordance with the schedule above. Unless otherwise agreed in writing, payment obligations are non-transferable without prior written consent of both parties. Invoices shall be provided with reasonable supporting detail and are payable within the time period specified in the payment schedule.

Term and Termination

This Agreement commences on the Effective Date and continues until the Term End Date or until terminated according to the provisions below.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above following written notice. Termination for convenience by either party requires the notice provided above unless otherwise mutually agreed in writing.

Confidentiality

Each party shall maintain in confidence Confidential Information received from the other party and shall not disclose such information to third parties except as necessary to perform obligations under this Agreement or as required by law. "Confidential Information" includes non-public business information, member information, financial records, and any other information designated in writing as confidential at the time of disclosure.

The confidentiality obligations do not apply to information which: (a) is or becomes publicly known through no breach of this Agreement; (b) is received from a third party without breach of an obligation of confidentiality; (c) is independently developed without using Confidential Information; or (d) is required to be disclosed by law or court order, provided the disclosing party gives prompt written notice to the other party and cooperates in any lawful effort to limit disclosure.

Standards of Conduct and Community Obligations

Participants and signatories agree to uphold inclusive, respectful, and non-discriminatory conduct in all community activities. The parties will maintain transparent decision-making, share relevant information promptly, and treat member concerns with good faith. Repeated violations of agreed conduct standards may subject a participant to remedial measures or suspension consistent with community procedures.

Dispute Resolution

The parties shall use good faith negotiation to resolve disputes arising under this Agreement. If unresolved within thirty (30) days after written notice, the parties agree to submit the dispute to non-binding mediation. If mediation fails, the parties may pursue binding arbitration or litigation as agreed below.

Governing Law
