COMMUNITY SUPPORT AGREEMENT FOR LANCASHIRE WOMEN

Parties

This Community Support Agreement ("Agreement") is entered into between:

WHEREAS

WHEREAS, Lancashire Women seeks community support, volunteer resources and funding to deliver programs, workshops and outreach in Lancashire for the benefit of women and girls; and

WHEREAS, the Supporter has represented that it possesses the capacity, resources and intent to provide specified support to Lancashire Women in accordance with the terms and conditions set out in this Agreement; and

WHEREAS, the parties desire to set forth their mutual obligations, payment terms, confidentiality obligations and governance under a written agreement.

Scope of Work

The Supporter shall provide community support to Lancashire Women pursuant to the following scope. The Supporter shall perform services with reasonable skill, care and diligence and in accordance with applicable laws.

Payment Terms

In consideration for the services and support described in this Agreement, the Supporter shall pay Lancashire Women as follows. Payments shall be due and payable in accordance with the schedule below and are exclusive of any applicable taxes unless otherwise stated.

Late payments shall accrue interest at the rate of: or a flat fee of for each late invoice, whichever is lawful and greater.

Term and Termination

This Agreement commences on and shall expire on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon giving the other party prior written notice. Either party may terminate immediately for material breach by the other party that remains uncured for a period of 15 days following written notice of such breach.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is designated confidential or that a reasonable person would understand to be confidential. Each party shall:

(a) hold such information in strict confidence, use it only for the purposes of performing this Agreement, and not disclose it to any third party except to its employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein;

(b) take reasonable steps to protect Confidential Information from unauthorised access, use or disclosure; and

(c) not be liable for disclosure to the extent required by applicable law, provided the disclosing party gives the other party prior written notice where practicable and cooperates to seek protective measures.

Liability and Indemnity

Each party shall be responsible for and shall indemnify and hold harmless the other party against third party claims arising from its negligence, wilful misconduct or breach of this Agreement, except to the extent caused by the other party's negligence or wilful misconduct. Neither party's liability for direct damages shall exceed the total amounts paid under this Agreement in the 12 months preceding the claim. Neither party shall be liable for indirect, consequential or punitive damages except in respect of liability that cannot be excluded by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law rules.

Entire Agreement

This Agreement, including any schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice. Notice shall be deemed given when delivered in person, on the date of receipt if sent by recorded delivery, or three (3) business days after dispatch by registered post.
