What a Companion Services Agreement Covers

A Companion Services Agreement is a written contract that defines nonmedical support services provided to a client by a companion or caregiver. It specifies the scope of duties, hours, location, compensation, termination terms, confidentiality, and any required background checks. When personal health information is involved, the agreement should address privacy controls and HIPAA obligations. The document creates enforceable expectations between the hiring party and the companion and often supports invoicing, payroll classification, and insurance or licensing compliance.

Why a Clear Agreement Matters

Using a written Companion Services Agreement reduces disputes, clarifies responsibilities, and documents compensation and scheduling. It supports regulatory compliance, protects client privacy when PHI is present, and creates a record suitable for billing, insurance, or legal review.

Why a Clear Agreement Matters

Who Typically Uses This Agreement

The Companion Services Agreement is used by both organizations and individuals who arrange nonmedical support services.

  • Home care agencies providing companion services and scheduling multiple staff members for client visits.
  • Private families or guardians hiring an individual companion for daily assistance or social support.
  • Senior living communities arranging third-party companions or in-house nonmedical support personnel.

Parties should confirm licenses, background checks, and privacy obligations before signing to reduce later disputes.

Core Elements to Include in a Professional Agreement

A thorough Companion Services Agreement balances practical scheduling details with legal protections to reduce ambiguity and support enforcement.

Scope of Services

Describe specific companion duties (companionship, meal assistance, transportation, errands), limits on medical tasks, and any prohibited activities to avoid scope creep or classification issues.

Term & Termination

Specify the effective date, renewal or end date, notice required for termination, and any cure periods so both parties understand how services may stop or renew.

Compensation

State hourly or flat pay, invoicing cadence, overtime rules, reimbursement for expenses, and when payment is due to prevent billing disputes and satisfy payroll classification.

Confidentiality & HIPAA

If protected health information is accessed, include a HIPAA-compliant privacy addendum, data handling rules, and a Business Associate Agreement if required.

Liability & Insurance

Allocate responsibility for accidents or property damage, require proof of liability or workers' compensation insurance when appropriate, and define indemnification obligations.

Signature & Acceptance

Include signature blocks with printed names, dates, and authority to bind each party; note whether electronic signatures are accepted under ESIGN/UETA.

Common Preparation Mistakes to Avoid

  • Using vague service descriptions that lead to disputes about what tasks are permitted or expected.
  • Failing to verify companion identity, certifications, or background checks before services begin, creating liability exposure.
  • Omitting confidentiality or HIPAA language when the companion will access protected health information.
  • Relying on oral agreements for schedule or pay changes without documenting amendments in writing.

Risks and Consequences of Errors

Incorrect Party Name: May void enforcement
Missing Signature: Agreement may not be binding
HIPAA Noncompliance: Civil penalties and corrective action
Improper Classification: Payroll taxes or wage claims
No Background Checks: Increased liability risk
Poor Recordkeeping: Evidence gaps in disputes

Best Practices for Accuracy and Efficiency

Adopt standardized procedures to minimize errors and support compliance across engagements.

Use a Standardized Template
Create a single, reviewed template that includes mandatory clauses for scope, pay, confidentiality, and termination; updating the template centrally reduces versioning errors and ensures consistent legal review.
Verify Identity and Credentials
Confirm companion identity with government ID, run background checks when required, and store proof with the agreement to reduce liability and support compliance with employer or payer rules.
Document PHI Handling Rules
If the companion will access protected health information, add a HIPAA addendum and specify storage, transmission, and minimum necessary rules to avoid privacy breaches.
Track Amendments and Renewals
Record any modifications as signed amendments or addenda; include renewal notice windows and automated reminders to prevent missed term extensions or unapproved rate changes.
