WHEREAS, Program Administrator shall administer and enforce the rules, benefits, and procedures of the program in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the program rules, participant obligations, payment terms, confidentiality obligations, and procedures for modification and termination herein.

SCOPE OF WORK

The Program Administrator shall perform the services described above and shall comply with all Program Rules set forth in this Agreement. The Program Administrator shall be responsible for developing participant communications, maintaining program records, and enforcing disciplinary procedures described herein.

PROGRAM RULES

Unless otherwise agreed in writing, undisputed payments are due within the timeframe set forth in the Payment Schedule. Late payments accrue the Late Fee specified above and collection costs as permitted by law.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure the breach within the Notice Period above. Termination does not relieve either party of obligations incurred prior to termination.

CONFIDENTIALITY

Each party shall maintain the confidentiality of Confidential Information disclosed by the other party and shall not use such information except as necessary to perform obligations under this Agreement. Confidential Information does not include information that is publicly available other than through breach of this Agreement, independently developed without use of Confidential Information, or rightfully obtained from a third party without restriction.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence, willful misconduct, or breach of this Agreement.

GOVERNING LAW; COMPLIANCE

This Agreement shall be governed by and construed in accordance with the laws of the state specified above without regard to conflict-of-law principles. Each party shall comply with all applicable laws, rules and regulations in performing its obligations under this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification of this Agreement must be made in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party shall assign this Agreement without the prior written consent of the other party, except that Company may assign to an affiliate or successor in interest without such consent provided the assignee assumes the assigning party's obligations.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement will remain in full force and effect and the affected provision will be replaced by a valid provision that most closely approximates the parties' intent.

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the contact information designated by each party. Notice is effective upon receipt.
