RECITALS

WHEREAS, the Company maintains compliance policies, procedures and standards governing conduct, information security, privacy, anti-corruption, recordkeeping and related matters (collectively, "Company Policies"); and

WHEREAS, the Acknowledging Party is required to read, understand and comply with the Company Policies as a condition of engagement, employment, access to facilities, or provision of services; and

WHEREAS, the parties desire to set forth the Acknowledging Party's obligations to comply with the Company Policies and the Company's rights to monitor and enforce compliance.

NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below. "Confidential Information" means non-public business, technical, financial, customer and employee information disclosed by the Company to the Acknowledging Party, whether disclosed orally, visually or in writing, or through access to systems or facilities, and includes Company Policies, audit results, and corrective action plans.

2. ACKNOWLEDGEMENT OF POLICIES

The Acknowledging Party hereby acknowledges receipt of, and agrees to read and abide by, the Company Policies specified below. The Acknowledging Party further acknowledges that failure to comply with such policies may result in disciplinary action, up to and including termination of engagement, contractual remedies, or other legal action.

3. COMPLIANCE OBLIGATIONS

The Acknowledging Party shall: (a) comply with all applicable Company Policies at all times while engaged with the Company or accessing Company systems or premises; (b) promptly complete required training, certification, and attestations; and (c) submit to reasonable inquiries, audits, or investigations necessary to verify compliance.

4. REPORTING AND COOPERATION

The Acknowledging Party shall immediately report any known or suspected violation of Company Policies, applicable law, or other misconduct to the Company's designated compliance officer and shall fully cooperate with any internal or external investigation, including providing truthful statements and producing documents upon request.

5. MONITORING, AUDIT AND ACCESS

The Company reserves the right to monitor compliance through audits, access logs, facility inspections and other reasonable means. The Acknowledging Party consents to such monitoring and to the Company taking remedial measures where non-compliance is identified. The Company shall give notice where required by law or policy.

6. CONFIDENTIALITY

The Acknowledging Party shall maintain the confidentiality of all Confidential Information and shall not use, disclose, copy, transfer, or permit the use of such information except as authorized by the Company in writing or as required by law. Upon termination of engagement, the Acknowledging Party shall return or destroy all Confidential Information in its possession and provide written certification of such return or destruction upon request.

7. REMEDIES AND ENFORCEMENT

Breach of this Agreement or the Company Policies shall entitle the Company to pursue all available remedies, including but not limited to injunctive relief, damages, recovery of costs and attorneys' fees, suspension of access, termination of engagement, and reporting to regulatory authorities where appropriate.

8. REPRESENTATIONS AND WARRANTIES

The Acknowledging Party represents and warrants that: (a) the information provided in this Agreement is true and complete; (b) the Acknowledging Party has authority to enter into this Agreement; and (c) compliance with the Company Policies will not cause the Acknowledging Party to breach any other agreement or applicable law.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to conflict of laws principles.

10. ENTIRE AGREEMENT

This Agreement, together with any referenced Company Policies, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements, understandings or representations.

11. SEVERABILITY

If any provision of this Agreement is found to be invalid, illegal or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remainder of the Agreement shall remain in full force and effect.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses or contact details provided by the parties. Notices shall be effective upon personal delivery, confirmed electronic transmission, or three (3) business days after deposit with a nationally recognized carrier.

13. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Waiver of any breach shall not constitute waiver of any other or subsequent breach. This Agreement may be executed in counterparts, and facsimile or electronic signatures shall be deemed original signatures for all purposes.
