7. CONFIDENTIALITY

Information exchanged under the Agreement and referenced in this Cover that is designated confidential or that reasonably should be considered confidential shall be treated in accordance with the Agreement's confidentiality provisions. The parties agree that designated compliance reports and audit materials are Confidential Information.

8. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party for losses arising from its breach of the Agreement, its gross negligence or willful misconduct in connection with the compliance obligations set forth herein, subject to any limitations of liability contained in the Agreement.

9. TERM AND TERMINATION

This Cover shall be effective as of the Effective Date and shall continue for a period of years unless earlier terminated in accordance with the Agreement.

10. NOTICES

Notices under this Cover shall be given in writing to the addresses below and shall be effective in accordance with the notice provisions of the Agreement.

11. AMENDMENTS; WAIVER; ENTIRE AGREEMENT; SEVERABILITY; GOVERNING LAW

This Cover may be amended only by a written instrument signed by authorized representatives of both parties. No failure or delay in exercising any right is a waiver unless expressly set forth in writing. This Cover, together with the Agreement and attachments listed herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior oral or written arrangements. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
