PAYMENT TERMS

In consideration for the services to be performed, Client agrees to pay Service Provider the amounts and on the schedule set forth below.

Any amounts not paid when due shall accrue interest at per month, compounded monthly, or a flat late fee of , whichever is greater. Service Provider may suspend services for unpaid amounts after providing written notice and a cure period as described below.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations that accrue prior to the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is identified as confidential or that, given the nature of the information or the circumstances surrounding disclosure, reasonably should be considered confidential. The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to its employees, agents and subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein; and (c) take reasonable measures to protect the Confidential Information. Confidentiality obligations survive termination of this Agreement for a period of years, except to the extent otherwise required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in the governing jurisdiction for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attachments and the completed checklist items and corresponding evidence, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, negotiations and discussions, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
