Confidentiality

All non-public information disclosed between the parties in connection with this Letter shall be treated as Confidential Information. Confidential Information shall not be disclosed to third parties without prior written consent, except as compelled by law. Confidentiality obligations shall remain in effect for following the date of this Letter. Exclusions include information that is or becomes public through no breach, independently developed without use of confidential materials, or rightfully received from a third party without restriction.

Limitations of Liability

Except in cases of willful misconduct or gross negligence, Manufacturer's liability arising out of or related to this Letter shall be limited to direct damages not to exceed the total payments received by Manufacturer under the related commercial engagement. Manufacturer shall not be liable for special, incidental, consequential or punitive damages, including loss of profits or business interruption.

Governing Law

This Letter shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Exclusive venue for disputes shall lie in the state or federal courts of that jurisdiction.

Entire Agreement

This Letter, together with any attachments and referenced test reports, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. This Letter may be amended only by a written instrument signed by authorized representatives of both parties.
