RECITALS

WHEREAS, each party is or will be a party to commercial arrangements pursuant to which goods, services or technology may be supplied, resold or otherwise transferred; and

SCOPE OF WORK

SANCTIONS REPRESENTATIONS AND COVENANTS

Each party represents, warrants and covenants that, as of the Effective Date and at all times during performance:

(a) it is not a person, entity or vessel that is the subject of sanctions or embargoes imposed by any national government or international body applicable to performance hereunder; and

(b) it will not, directly or indirectly, transfer, provide, disclose or otherwise make available any goods, technology, software, services, funds or support to a person, entity, country or end-use that would contravene applicable sanctions, export control or trade embargo laws; and

(c) it will maintain and apply sanctions screening procedures reasonably designed to identify sanctioned parties and restricted jurisdictions, and will not materialize or continue any transaction that would cause a breach of applicable sanctions laws.

TERM AND TERMINATION

CONFIDENTIALITY

Each party will keep confidential all non-public information disclosed in connection with this Agreement and will use such information solely to perform its obligations. What the Compliance Sanctions Language Template Is

A Compliance Sanctions Language Template is a standardized legal document used to insert clear, enforceable sanctions-related provisions into contracts, policies, and vendor agreements. It defines prohibited parties and activities, screening procedures, reporting obligations, and remedies for breaches tied to economic sanctions, export controls, and trade restrictions. The template helps organizations apply consistent wording across agreements, document due diligence steps, and preserve evidentiary detail for audits and regulator inquiries while aligning contractual language with internal compliance programs and applicable U.S. law.

Why Standardized Sanctions Language Matters

Clear, repeatable sanctions language reduces legal ambiguity, documents required screening and reporting steps, and creates a defensible record for auditors and regulators. Consistent clauses help limit exposure to fines, contractual disputes, and debarment by establishing precise obligations, permitted actions, and remedies tied to sanctions screening outcomes.

Why Standardized Sanctions Language Matters

Who Commonly Uses This Template

Compliance teams, contracting officers, procurement, legal counsel, and vendors use sanctions language templates to ensure contract-level alignment with sanctions screening programs.

  • Compliance and risk teams — embed required screening steps and evidence retention rules into every third‑party contract.
  • Legal counsel and contracting officers — ensure enforceable remedies and warranty language for sanctions breaches.
  • Procurement and vendor managers — require uniform vendor attestations and ongoing monitoring obligations.

Organizations adopt the template across templates and deal types to reduce negotiation friction and support consistent compliance controls.

Primary Who May Sign and Approve

Compliance Officer

The designated compliance officer typically verifies sanctions clauses align to internal policy and signs or certifies compliance addenda; they also coordinate screening results and remedial actions with legal and business units.

General Counsel

Legal counsel reviews and approves the final contract language, confirms enforceability, and signs where delegations require legal attestation or where counterparty negotiation alters sanction obligations materially.

Core Components to Include

Design the template to contain six essential sections so each contract captures the screening, reporting, and enforcement lifecycle consistently.

Sanctions Definition

Define the specific sanctions regimes, lists, and authorities referenced (for example, OFAC, BIS, EU lists) and state whether the list scope includes subsidiaries, affiliates, and beneficial owners.

Prohibited Parties

List categories of disallowed counterparties and require warranty and representation that the signing party and its affiliates are not sanctioned or controlled by sanctioned persons.

Screening Obligations

Specify initial onboarding screening, periodic screening cadence, screening tools or databases, and required escalation steps for matches or hits.

Reporting & Notice

Obligate prompt internal notice of matches, timelines for counterparty disclosure, and cooperation obligations for regulatory reporting where required.

Remedies & Termination

Describe remedies for sanctions breaches including suspension, termination for convenience or cause, indemnities, and recovery of damages or costs.

Audit & Recordkeeping

Prescribe retention of screening results, audit logs, and communications for a defined period to support audits and regulatory inquiries.

Common Mistakes to Avoid

  • Using vague or undefined sanctions references that leave parties uncertain about which lists or regimes apply and when screening is required.
  • Failing to require warranties and representations from counterparties, which weakens contractual remedies if a sanctions violation is discovered.
  • Neglecting to document the screening tool, criteria, and exact match evidence, impairing the ability to defend actions during regulator inquiries.
  • Omitting retention and audit requirements, which can lead to missing records during compliance reviews and increase enforcement risk.

Penalties and Key Risks

Regulatory Fines: Civil monetary penalties
Criminal Liability: Possible prosecution in severe cases
Contract Termination: Loss of commercial rights
Debarment: Ineligibility for government contracts
Reputational Harm: Market and partner trust loss
Financial Loss: Asset freezes and transactional losses
