Each party agrees to hold such information in strict confidence and to use it solely for purposes of performing obligations under this Certificate. Confidential information shall not include information that is or becomes publicly known other than by breach of this provision, or that is required to be disclosed by law, provided the disclosing party gives prompt notice where legally permitted.

GOVERNING LAW

This Certificate shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising out of this Certificate shall be subject to the exclusive jurisdiction of the courts located in that State.

ENTIRE AGREEMENT

This Certificate, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.
