CONCERT EVENT MEMORANDUM OF AGREEMENT

This Memorandum of Agreement is entered into as of by and between:

WHEREAS

WHEREAS, Promoter is engaged in the organization and promotion of live musical performances and desires to present an event known as at the venue described below; and

WHEREAS, Artist is willing to perform the concert engagement subject to the terms and conditions set forth in this Memorandum of Agreement; and

WHEREAS, the parties intend for this Memorandum to set forth the primary commitments, compensation and operational responsibilities for the event.

SCOPE OF WORK

Artist shall provide the services described below and shall perform in a professional manner consistent with industry standards. Artist's obligations include but are not limited to set preparation, performance, and attendance at required rehearsals and sound checks, as set forth herein.

PAYMENT TERMS

Promoter agrees to pay Artist the total guaranteed fee of (the "Fee"), payable as follows:

Payment schedule: Deposit due upon execution; balance due no later than unless otherwise agreed in writing. Payment shall be made by Promoter to the payee designated by Artist. All payments are subject to the withholding and tax obligations of the payor as required by law.

TERM AND TERMINATION

This Agreement commences on the Event Date specified above and terminates automatically upon completion of the Artist's performance and related obligations unless earlier terminated as provided herein.

If either party materially breaches this Agreement and fails to cure within the notice period specified above, the non-breaching party may terminate this Agreement and pursue remedies available at law or in equity, including recovery of direct damages and reasonable attorneys' fees.

CONFIDENTIALITY

Each party acknowledges that in connection with the performance of this Agreement it may obtain confidential information of the other party. Each party agrees not to disclose such confidential information to third parties and to use it only for performance of this Agreement. Confidential information does not include information that is or becomes publicly known other than through breach of this provision, or information lawfully obtained from a third party without an obligation of confidentiality.

INSURANCE, PERMITS AND COMPLIANCE

Promoter shall obtain and maintain all permits, licenses and insurance required by law and venue rules for the Event. Promoter shall ensure the venue meets safety standards and has adequate security. Artist may require proof of insurance and compliance prior to load-in; failure to provide acceptable proof is a material breach permitting Artist to suspend performance.

INDEMNIFICATION

Each party shall indemnify and hold harmless the other party, its officers, agents and employees from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the negligent acts or omissions of the indemnifying party in connection with the Event, except to the extent caused by the other party's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. Venue for any action arising under this Agreement shall be exclusively in the state or federal courts located in that state, unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Memorandum of Agreement, together with any attached riders and addenda signed by both parties, constitutes the entire agreement between Promoter and Artist with respect to the Event and supersedes all prior understandings, negotiations and agreements, whether written or oral. No modification or waiver of any provision shall be binding unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture or employment relationship.
