What the Concession Agreement Addendum Is

The Concession Agreement Addendum is a written amendment that modifies an existing concession agreement — for example, a lease, vendor concession, or permit — to change terms such as rent, operating hours, scope of services, or duration. It clarifies which provisions remain effective and records agreed adjustments without creating a new primary agreement. Parties use an addendum to preserve the original contract while documenting discrete changes, preserving chain of title and contractual history. Properly executed addenda should identify the original agreement, state amended clauses clearly, and include signatures dated by authorized signatories.

Why a Concession Agreement Addendum Matters

A Concession Agreement Addendum lets parties record limited changes quickly while avoiding the cost and delay of drafting a replacement contract. It maintains continuity of rights and obligations, reduces ambiguity about amended provisions, and creates a clear execution record for future enforcement.

Why a Concession Agreement Addendum Matters

Who typically prepares and approves an addendum

Typical users include property managers, concessionaires, municipal contracting officers, and in-house or outside legal counsel overseeing contract modifications.

  • Property managers and concessionaires who operate venues or retail spaces under a master concession agreement.
  • Municipal or park authorities that issue permits and need written amendments for changes in services.
  • Legal teams and contract administrators who document negotiated changes and ensure enforceability.

The addendum should be circulated to all signatories and stakeholders to confirm acceptance and to preserve a clear audit trail.

Core elements to include in a professional addendum

A professional addendum clearly identifies parties, references the original agreement, specifies amended clauses, sets effective dates, and supplies execution blocks and signatures for all authorized parties.

Reference

Cite the original contract by title, date, and section numbers so each amendment maps to explicit clauses and avoids ambiguity about which provisions are changed.

Amended Terms

List each modified clause with its prior language and new wording; use strike-through and replacement language or numbered subparagraphs for clarity, and indicate whether obligations increase, decrease, or remain unchanged.

Effective Date

State the effective date in MM/DD/YYYY format and whether changes are retroactive, prospective, or conditional upon specified events; note impact on performance deadlines and applicable notice periods.

Consideration

Describe any new consideration or adjustment (dollars, credits, services); include calculation method, payment schedule, and reference invoice numbers or budget line items where applicable to prevent disputes.

Authority

Identify who may execute the addendum on behalf of each party, include title, signatory capacity, and attach corporate resolutions or authorizations if required, and include contact information for verification.

Execution

Provide signature lines for all parties with printed names, titles, dates, and space for notarization or witness information when applicable, plus record-keeping instructions for executed copies.

Step-by-step: completing a Concession Agreement Addendum

Follow these sequential steps to amend an existing concession agreement and ensure clear execution and record retention for enforceability.

  • 01
Locate Agreement: Reference the original contract date and section numbers before drafting changes.
  • 02
Draft Amendment: Specify exact language replaced and add new provisions as separate numbered items.
  • 03
Review & Approve: Obtain internal approvals and legal review for compliance and consistency.
  • 04
Execute: Collect signatures, dates, and notarizations or witness information if required.

Typical e-signature workflow for an addendum

Electronic completion follows a standard flow: upload, place fields, authenticate signers, obtain signatures, and archive with an audit trail for legal reliability.

  • Authenticate: Use email, SMS code, or stronger methods.

Key dates and expected processing times

Track execution deadlines, submission periods for approvals, and archival steps to ensure the addendum effects take place and records remain compliant.

Effective Date:

Date when amended terms begin; verify MM/DD/YYYY format.

Submission to Authority:

Submit addendum to landlord, concessionaire, or agency within agreed notice period.

Counter-signature Deadline:

Set a clear deadline for returning signed copies to avoid lapse.

Recordation:

Record with local land records if addendum affects property interests.

Archival:

Retain executed copies per retention policy and counsel guidance.

Common pitfalls to avoid when preparing an addendum

  • Failing to reference the original agreement precisely can create ambiguity about which clauses are amended and may lead to contract disputes and enforcement delays.
  • Using vague language about consideration or payment schedules often triggers disagreements; specify amounts, timing, and calculation methods to reduce litigation risk.
  • Omitting signatory authority or corporate resolutions risks invalidation when a party disputes the signer's capacity to bind the organization.
  • Not updating dates, failing to notarize when required, or neglecting to distribute executed copies undermines record integrity and successful enforcement.

Legal and financial risks of incorrect or incomplete addenda

Contract Voidability: Amendment may be void if unauthorized.
Monetary Penalties: Damages or fees for breach.
Recording Rejection: County recorder may refuse filing.
Tax Withholding: Incorrect payee details trigger backup withholding.
Regulatory Noncompliance: Agency approvals could be rescinded.
Enforcement Delay: Disputes prolong resolution and costs.
