CONCESSION AGREEMENT

This Concession Agreement (the "Agreement") is made and entered into as of Effective Date: by and between Licensor Name: , a Corporation LLC Other , with a principal place of business at , and Concessionaire Name: , a Corporation LLC Other , with a principal place of business at . Licensor and Concessionaire are collectively referred to herein as the "Parties."

RECITALS

WHEREAS, Licensor is the owner or lawful operator of the premises and facilities located at (the "Premises"); and

WHEREAS, Licensor desires to grant to Concessionaire the right to operate a concession described as within the Premises on the terms and conditions set forth herein; and

WHEREAS, Concessionaire desires to accept such right and to operate the concession for the mutual benefit of the Parties.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 "Concession" means the business activities described in Concession Description below and any ancillary services authorized by Licensor. Concession Description:

1.2 "Premises" means the specific area within the location identified as which is to be occupied by Concessionaire.

2. GRANT OF CONCESSION

2.1 Grant. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Concessionaire the non-exclusive right to operate the Concession at the Premises during the Term described in Section 3, and to use certain Licensor-provided utilities and services on the terms set forth herein.

3. TERM

3.1 Initial Term. The initial term of this Agreement shall commence on Commencement Date: and continue for a period of years, unless earlier terminated in accordance with this Agreement.

3.2 Option to Renew. Concessionaire may request renewal subject to Licensor's written consent and satisfactory performance. Any renewal shall be evidenced by a written amendment executed by both Parties.

4. FEES, PAYMENT AND REPORTING

4.1 Concession Fee. Concessionaire shall pay Licensor a minimum monthly concession fee in the amount of $ , payable in advance on or before the day of each month.

4.2 Percentage Rent. In addition to the minimum fee, Concessionaire shall pay Licensor % of Gross Sales for each calendar month, with Gross Sales defined as total receipts from the Concession less only returns and taxes collected directly from customers.

4.3 Security Deposit. Upon execution Concessionaire shall deliver a security deposit in the amount of $ to secure performance of obligations under this Agreement.

5. OPERATION AND MAINTENANCE

5.1 Standards. Concessionaire shall operate the Concession in a first-class manner consistent with industry standards, maintain the Premises in a clean and sanitary condition, and comply with Licensor's reasonable operating rules.

5.2 Repairs. Concessionaire shall be responsible for routine maintenance and minor repairs to the Premises necessitated by Concessionaire's use. Any structural repairs shall be the responsibility of Licensor unless caused by Concessionaire's negligence or willful misconduct.

6. INSURANCE AND INDEMNITY

6.1 Insurance. Concessionaire shall, at its expense, maintain commercial general liability insurance in limits not less than $ per occurrence and shall name Licensor as an additional insured on such policy.

6.2 Indemnity. Concessionaire shall indemnify, defend and hold harmless Licensor and its agents, officers and employees from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with Concessionaire's operation of the Concession, except to the extent caused by Licensor's gross negligence or willful misconduct.

7. COMPLIANCE WITH LAW

Concessionaire shall, at its sole cost and expense, obtain and maintain all licenses, permits and approvals required to operate the Concession and shall comply with all applicable laws, regulations and codes. Concessionaire shall not use the Premises for any illegal purpose.

8. RECORDS, REPORTS AND AUDIT

8.1 Records. Concessionaire shall keep accurate books and records of all transactions related to the Concession in accordance with generally accepted accounting principles.

8.2 Audit. Licensor shall have the right, upon reasonable prior written notice and during normal business hours, to audit Concessionaire's records relating to Gross Sales for a period of up to years. If an audit reveals an underpayment exceeding %, Concessionaire shall reimburse Licensor for reasonable audit costs.

9. ASSIGNMENT AND SUBCONTRACTING

Concessionaire shall not assign, transfer or subcontract its rights or obligations under this Agreement without Licensor's prior written consent, which consent shall not be unreasonably withheld for a qualified assignee. Any attempted assignment without consent shall be void and of no effect.

10. DEFAULT AND REMEDIES

10.1 Event of Default. The occurrence of any of the following shall constitute an Event of Default: (a) failure to pay amounts when due; (b) material breach of operational obligations; (c) abandonment of the Concession; or (d) insolvency of Concessionaire.

10.2 Remedies. Upon an Event of Default, Licensor shall have all remedies available at law or in equity, including termination after providing Concessionaire with written notice and a cure period of days, provided that in the case of non-monetary defaults which are not reasonably curable within such period, Concessionaire shall not be deemed in default if it commences curing within such period and diligently prosecutes cure to completion.

11. TERMINATION

11.1 Termination for Convenience. Licensor may terminate this Agreement for convenience upon days' prior written notice to Concessionaire, subject to any applicable termination obligations set forth herein.

11.2 Effect of Termination. Upon termination or expiration, Concessionaire shall vacate the Premises, remove its personal property, and restore any alterations in accordance with Section 12 unless otherwise agreed in writing. Licensor's acceptance of keys or other property shall not constitute a waiver of Licensor's right to recover damages.

12. RESTORATION

Concessionaire shall, at its expense, remove fixtures and trade equipment and restore the Premises to the condition required by Licensor in writing, reasonable wear and tear excepted. Any damage caused by removal shall be repaired by Concessionaire at its expense.

13. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below by certified mail, overnight courier, or personal delivery. Notices shall be effective upon receipt.

14. AMENDMENTS; WAIVER

No amendment or modification of this Agreement shall be effective unless in writing and executed by both Parties. No waiver of any provision of this Agreement shall be enforceable unless in writing signed by the waiving Party.

15. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising out of this Agreement.

16. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including any exhibits or schedules hereto, contains the entire understanding of the Parties with respect to the Concession and supersedes all prior agreements, understandings and negotiations. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

18. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has full power and authority to enter into this Agreement and that the person executing this Agreement on its behalf is duly authorized to do so.
