What a Conditional Final Agreement Is and When It Applies

A Conditional Final Agreement is a legally binding contract that becomes fully operative only after specified conditions are satisfied. Typical conditions include financing approvals, regulatory clearances, delivery of closing documents, or fulfillment of contingencies. Parties use this form to document final terms while preserving conditional triggers, timeframes, and responsibilities for achieving closing events. Properly drafted, it identifies trigger events, required deliverables, timelines, and remedies if conditions are unmet, allowing parties to agree now while deferring final performance until conditions occur.

Why a Conditional Final Agreement Matters for Risk and Clarity

A Conditional Final Agreement manages deal risk by recording final terms while conditioning obligations on future events; it preserves intent and allocation of responsibility. Under ESIGN (15 U.S.C. ch. 96, 2000) and UETA (1999), electronically signed conditional agreements are enforceable when intent, consent, attribution, and retention are satisfied.

Why a Conditional Final Agreement Matters for Risk and Clarity

Who Typically Prepares and Signs These Agreements

Common users include teams that close conditional transactions and need clear assignment of responsibility before closing.

  • In-house counsel and outside counsel managing deal terms and enforceability across jurisdictions.
  • Transaction or closing managers coordinating deliverables, escrow instructions, and milestone tracking.
  • Lenders, escrow agents, and counterparties who must verify condition satisfaction before funds or rights transfer.

The document is useful across deal sizes where predictable closing mechanics and recordable conditions reduce dispute risk.

Who Signs and Why

General Counsel

General Counsel reviews and signs to confirm corporate authority, representations, and risk allocation. They ensure conditions, remedies, and governing law align with corporate policy and regulatory obligations when final performance is triggered.

Closing Officer

A closing officer or transaction manager signs as the party responsible for confirming deliverables, coordinating escrow, and ensuring release only when all named conditions have been satisfied or waived.

Common Preparation Errors to Avoid

  • Vague conditions without objective evidence create disputes about whether triggers were met and may permit unwinding.
  • Missing or inconsistent signature blocks and authority lines can lead to rejection by counterparties or recording offices.
  • Failure to specify delivery method for proof (email, certified copy, notarized affidavit) routinely causes processing delays.
  • Not aligning waiver authority with signatory capacity can inadvertently allow unauthorized waivers or prevent necessary consents.

Consequences of an Incorrect or Incomplete Agreement

Unenforceability: Risk of challenge if material terms or signature attribution are unclear
Recording Rejection: County recorder may refuse defective documents
Regulatory Fines: Potential penalties if filings miss statutory requirements
Escrow Misrelease: Funds or documents released without proper condition proof
Tax Exposure: Incorrect timing can affect tax reporting or obligations
Reputational Risk: Contract disputes can harm business relationships
